Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization engaged the services of a 501(c)(3) organization, rochester institute of technology (rit), to retain an individual of appropriate background and experience for the performance of tasks associated with the chief executive officer (ceo) function of the organization. Rit is also a member organization and assisted with the initial application process and start-up of the organization. The salaries of other officers or key employees of the organization are set by the ceo and approved by the board of directors during the annual budgeting process.

Form 990, Part VI, Section A, Line 6

The organization is comprised of members classified into one of four categories: industry, academic institution, affiliate, or national labs. Industry and academic institution members are further classified by tier level, as set forth in the membership agreements. Members of the organization shall pay dues as set forth in the membership agreement. The organization recognizes revenue from membership dues upon execution and doe approval of a membership agreement. The benefits of membership shall be determined based on a member's tier level and in accordance with membership agreements.

Directors and officers are required to complete an annual conflict of interest disclosure form. In addition, a director or officer shall disclose a conflict of interest: (a) prior to voting on or otherwise discharging his duties with respect to any matter to come before the board or any committee; (b) prior to entering into any contract or transaction involving the organization; and (c) as soon as possible after the director or officer shall learn of a conflict of interest. As a condition of the department of energy (doe) funding of the organization, the organization shall promptly notify the doe within five days of any significant conflict of interest issues.
