Although the board of directors decided in July, 2019 that the organization should dissolve, the board left the official timeline to the discretion of the Head of School and the Treasurer, who maintained the primary responsibilities of closing the school's operations and finalizing all financial obligations, etc. The timeline for settling liabilities took the school through November of 2019. Final accounting work, including the processing of W-2s for 2019, issuing of end-of-year tax receipts to donors, and preparing the organization's 990 extended into the Spring of 2020. Although the dissolution paperwork was filed with the state of Mississippi much earlier, the board considers Grove's dissolution process to be complete as of May 15th, 2020.

Since the board of directors voted to not reopen the school, Grove did not collect any tuition or fee charges for the 2019-2020 school year, therefore there was no program revenue during this fiscal year. All charitable contributions were stopped as well as soon as donors were made aware that the school would begin the process of dissolution. Therefore, there was no contribution revenue during this fiscal year either.

The amount of $9,445 is the total value of physical assets owned by Grove, which were listed on the 2018 form 990 as the school's "equipment" (classroom furniture and supplies) on Part X, line 10c. These same assets were distributed in 2019 to other 501(c)3 organizations upon Grove's dissolution, as described in detail on attached Schedule N.

He has also served as one of the seven directors, and he has been employed by the school for his full time role as Head of School and high school teacher. Brian continued to receive normal pay from Grove (as did all other employees) during the month of July, 2019, to finalize his employee contract for the 2018-2019 school year. Upon deciding to close the school and upon review of Grove's remaining assets and liabilities, the board of directors deemed it appropriate to allocate additional funds to Brian Dennstaedt, which were paid to him in the month of Novemeber, 2019 in the amount of $10,500. This amount was reported on his W-2 as part of his wages as an employee of Grove. The reason for this pay was Brian's continued role as Head of School, and therefore, as the only remaining employee with significant responsibility to carry out all functions of the school's closing. These responsibilities were carried out during the months of July, 2019 through November, 2019. During this time, Brian successfully packed and delivered the school's physical assets to the board-approved recipients (see Part 1 for details), finalized all remaining financial and legal obligations of the school, updated donors on the school's closing and issued tax receipts for charitable donations, filed dissolution paperwork with the state of Mississippi, and prepared Grove's books for final review by the Treasurer and completion of the form 990 for 2018 as well as this 990-EZ for 2019. During these months, Brian also moved his family out of state in order to relocate for a new job, due to Grove's dissolution. The payment to him in the amount of $10,500 (previously mentioned) was approved by the board of directors as a one-time compensation to cover his work in the various tasks explained above, as well as to help cover some of the costs of his family's move to Maryland from Mississippi due to Grove's closing.
IRS990ScheduleN/SupplementalInformationDetail/ExplanationTxt1An explanation of the timeline concerning the decision to dissolve the organization: In May, 2019, the board began to seriously discuss Grove's financial picture and because we wanted to let families know the school's plans as soon as possible (so that parents could enroll their children elsewhere if need be), the decision was made by a majority vote of the directors to announce that Grove would not be reopening for the 2019-2020 school year, due to being underfunded. After more deliberation in June and early July as to the long-term future of the organization, a decision was made by the directors (unanimous) that the school should be permanently dissolved. As described on Schedule O, the board left the official timeline to the discretion of the Head of School and the Treasurer, who maintained the primary responsibilities of closing the school's operations and finalizing all financial obligations, etc. The state of Mississippi was notified quickly (in August of 2019) of the organization's intention to dissolve. Please see attached articles of dissolution from the MS Secretary of State's office. However, final logistics remained to be addressed. The timeline for settling liabilities took the school through November of 2019. Final accounting work, including the processing of W-2s for 2019, issuing of end-of-year tax receipts to donors, and preparing the organization's 990 extended into the Spring of 2020. Final accounting work, including the processing of W-2s for 2019, issuing of end-of-year tax receipts to donors, and preparing the organization's 990 extended into the Spring of 2020. Although the dissolution paperwork was filed with the state of Mississippi much earlier, the board considers Grove's dissolution process to be complete as of May 15th, 2020.

All charitable contributions were stopped as well as soon as donors were made aware that the school would begin the process of dissolution. Therefore, there was no contribution revenue during this fiscal year either.
