Mission

BizFed Institute enhances community revitalization economic development and civiv engagement through concerted organization information research and communication. The Institute educates engages and equips business leaders and owners with the necessary knowledge connections and resources to create a robust regional economy. This is accomplished through forums and roundtables to address various issues such as environment stewardship and sustainability education workplace development housing transportation water etc. BizFed Institute is funded through grants contributions sponsorships and gifts from family friends corporation foundations and the general public.

DELEGATION OF CONTROL OVER MANAGEMENT DUTIES: The organization has an agreement with IMPOWER Inc. for CEO services strategic direction management and administrative oversight. Tracy Hernandez principal of IMPOWER Inc. is the Founding CEO of BizFed Institute.

Part VI. B. Line 11a - The Form 990 is presented reviewed and approved by the entire Board of Directors before filing.

Part VI, Line 12C

MONITORING AND ENFORCEMENT OF CONFLICT OF INTEREST POLICY: The organizations Conflict of Interest Policy requires all interested persons including directors officers members employees and independent contractors to disclose the existence of financial interest conflicts. The policy is distributed to all the aforementioned individuals upon assuming their positions and annually thereafter. At the beginning of each Board meeting the Chair asks whether any person has an actual or possible conflict of interest to disclose regarding any action item on the agenda. Any person with an actual conflict of interest must and any person with a possible conflict of interest may abstain from making participating in any way or attempting to influence the decision. The minutes of all meetings contain the names of directors and members who abstained from voting due to existence of actual or possible conflicts of interest regarding a particular item on the agenda.

Part VI, Line 15

PROCESS FOR DETERMINATION REVIEW AND APPROVAL OF COMPENSATION: The organizations executive management is contracted with IMPOWER Inc. as previously mentioned. The agreement is reviewed annually by the Chair of the Board with the compensation approved by the full board as part of the annual budget process. The compensation of the President and other staff is determined by the Founding CEO and approved by the full board again as part of the annual budget process.
