Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an independent accounting firm. When the form 990 has been prepared, it is reviewed by the finance committee. A complete copy is provided electronically to the full board after it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization currently has in place a conflict of interest policy that applies to any officer, director and key employee, which it annually monitors and enforces. The board currently mandates that all members of the governing body annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the interest and be given the opportunity to disclose all material facts to the board. An interested person may make a presentation at the board, but after the presentation, he/she must leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The remaining directors or members of the board decide if a conflict of interest exists by a majority vote.

Form 990, Part VI, Section C, Line 19

The return is posted on guidestar.org and other similar websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request.
