Mission

Tetras strong local presence engages audiences from every corner of the community and reflects their belief that access to the arts is an essential human right. Tetras tcimi trains young musicians to perform in small ensembles with excellence and channel their creative strengths to effect positive change in themselves and the community.

Tetra string quartet is an arizona nonprofit organization that serves the community and empowers the next generation through performing and teaching chamber music.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The cfo of the organization distributes a pdf copy of the 990 to all board members for review and comment prior to the return being filed.

Form 990, Part VI, Section B, Line 12C

Any interested person with a potential or actual conflict of interest shall disclose the conflict to the board in a timely manner. An interested person with a conflict of interest shall abstain from any vote, discussion except as the board deems necessary for informational purposes, or attempt to influence the boards decision on the matter. Disinterested members of the board or relevant committee shall review the conflicted transaction and determine whether the organization can obtain a more advantageous transaction without giving rise to a conflict of interest. If not, the disinterested members shall determine whether the transaction is in the best interest of the organization, fair, and reasonable before approving it. An interested person with a conflict of interest shall abstain from any vote, discussion except as the board deems necessary for informational purposes, or attempt to influence the boards decision on the matter. The board may require the interested person to leave the meeting during deliberations and voting. The fact of an interested persons disclosure and abstention shall be documented in the minutes of the meeting where it occurred. Directors shall make decisions solely in the organizations best interests, without regard to personal, family, financial, or professional interests.

Form 990, Part VI, Section B, Line 15

Tetra is committed to establishing fair, reasonable, and competitive compensation for its executive leadership in compliance with irs regulations, nonprofit best practices, and the organizations mission. Compensation decisions will be made by the board of directors or a designated compensation committee composed entirely of independent, disinterested members. The committee shall review comparable compensation data from similarly sized nonprofit organizations and, when appropriate, independent salary surveys. Decisions will be made free from conflicts of interest any director with a personal interest in the compensation being discussed must recuse themselves from deliberations. All compensation decisions must be documented in board or committee meeting minutes, including the comparability data relied upon, names of individuals involved in the decision-making, and the decision reached and its effective date. Documentation must demonstrate compliance with the irs rebuttable presumption of reasonableness standards.

Program Service Expenses 0, Grants and allocations 0, Revenue 0 ONCE STUDENTS HAVE PREPARED A MUSICAL PERFORMANCE, THEY HAVE THE OPPORTUNITY TO SHARE THEIR MUSIC IN VARIOUS COMMUNITY SETTINGS, INCLUDING AFTER-SCHOOL CARE PROGRAMS, RETIREMENT COMMUNITIES, AND A REFUGEE CENTER. DURING THE 2024-25 SEASON, THE TETRA STRING QUARTET GUIDED HIGH SCHOOL ORCHESTRA STUDENTS AT TWO HIGH SCHOOLS IN TEMPE, AZ, IN DEVELOPING MUSICAL/INTERPERSONAL SKILLS AND APPLYING THEM IN AND OUT OF THE CLASSROOM. STUDENTS WERE PLACED IN SMALL ENSEMBLES OF 4-6 STUDENTS, PREPARED THEIR PIECES INDEPENDENTLY, RECEIVED COACHING FROM TETRA, AND PERFORMED A CULMINATION CONCERT FOR THE COMMUNITY. TETRA ALSO VISITED A MIDDLE SCHOOL ORCHESTRA PROGRAM. DURING THE 2024-25 SEASON, TETRA PERFORMED 16 CONCERTS AT FRIENDSHIP VILLAGE IN TEMPE, AZ. THEY SERVED 420 RESIDENTS IN PERSON AND 200 VIRTUALLY, PERFORMING FOR RESIDENTS IN MEMORY CARE, THE HEALTH CARE CENTER, ASSISTED LIVING, AND THE GENERAL POPULATION.

DECISIONS WILL BE MADE FREE FROM CONFLICTS OF INTEREST ANY DIRECTOR WITH A PERSONAL INTEREST IN THE COMPENSATION BEING DISCUSSED MUST RECUSE THEMSELVES FROM DELIBERATIONS. ALL COMPENSATION DECISIONS MUST BE DOCUMENTED IN BOARD OR COMMITTEE MEETING MINUTES, INCLUDING THE COMPARABILITY DATA RELIED UPON, NAMES OF INDIVIDUALS INVOLVED IN THE DECISION-MAKING, AND THE DECISION REACHED AND ITS EFFECTIVE DATE. DOCUMENTATION MUST DEMONSTRATE COMPLIANCE WITH THE IRS REBUTTABLE PRESUMPTION OF REASONABLENESS STANDARDS.
