Governance Explanations

Form 990, Part VI, Section A, Line 6

Organization members shall be entities, groups, or non-profit corporations that represent five or more ms4 permittees. These permittees may represent ms4 permittees in a region of a single state, in an entire single state, or multiple states. There shall be no more than one vote for any single state. Where there is a single organization member in a state, that member shall have one vote. Where there are multiple organization members for a single state, those members shall jointly have one vote and are expected to collaborate to determine their voting positions. Individual members shall be public entities that are ms4 permittees (covered under a phase i individual ms4 permit or a general ms4 permit). In a state with one or more organization members, individual members shall have no vote and are expected to collaborate with the other voting member organization(s) in their state to determine their voting positions. Individual members shall have no vote, unless designated as an at-large voting member. Affiliate members shall be any person or entity associated with the stormwater industry or sector, subject to the approval of the nmsa voting members. Affiliate members shall have no vote, unless designated as an at-large voting member. Emeritus members shall be any person associated with the stormwater industry or sector that has a significant amount of experience and/or expertise, and who wishes to contribute to the stormwater sector through leadership-level voluntary engagement within nmsa. It is envisioned that emeritus members will be recently retired or semi-retired stormwater practitioners. Emeritus members will be expected to identify one specific topic of interest and provide leadership on behalf of nmsa on this topic. The bod shall define an upper limit to the number of emeritus members within nmsa at any given time. Membership payment for emeritus members will be recognized as "in kind" through their dedicated voluntary efforts within nmsa. Aspiring emeritus members will be required to submit a cv as well as a brief summary on their background as well as their intended area of focus within nmsa along with a basic plan of action associated with this focus with intended outcomes highlighted. The nmsa board of directors (bod) will review submitted material and will provide additional follow up interviews, as needed. Emeritus members shall be approved based upon a simple majority vote of the bod. Emeritus members may be removed by a simple majority vote of the bod for any reason, or through letter of resignation from the emeritus member. Emeritus members cannot become a voting member. All engagement within nmsa led by emeritus members will be consistent with the mission of nmsa and will not violate conflicts of interest or misrepresent the positions and goals of nmsa.

Organization members - each state gets one vote for organization members. The organization members in each state must collectively agree on their vote. Affiliate members - have no voting rights unless designated as an at-large voting member. Individual members - have no voting rights unless designated as an at-large voting member. Emeritus member - have no voting rights.

Before a staff, board, or volunteer committee member begins his or her service with the nmsa, he or she shall file with the executive director of nmsa a list of his or her principal business activities, as well as involvement with other charitable and business organizations, vendors, or business interests, or with any other associations that might produce a conflict of interest. In addition to the disclosure required by the previous paragraph, each member is under an obligation to nmsa, to his or her fellow staff or volunteers, and to the community served by nmsa to inform nmsa of any position he or she holds or of any business or avocational activity which may result in a possible conflict of interest or bias for or against a particular collaborating organization, action, or policy, at the time such grant, action, or policy is under consideration by the board or any volunteer committee of nmsa.
