“The individual membership of the society shall consist of fellows, professional members, and student members. In addition, there shall be organization members. Subcategories of each of these membership grades for the purpose of differing dues structures or benefits may be established upon recommendation of the membership committee and approval of the board of directors.”

“The members of the board of directors shall consist of the officers and directors elected-at-large by secret ballot cast by members.”

“All members shall be entitled to all rights and privileges of membership in the society, except as otherwise limited in the society bylaws and rules or in the standard bylaws for a constituent unit. Other members, such as organization members, shall be non-voting and ineligible for holding office or serving on any committee of the society. The membership may vote on any changes to the bylaws.”

“The form 990 is reviewed by the organization's treasurer, executive director/ceo, and chief financial officer prior to filing. The form 990 will also be emailed to the full board of directors prior to filing.”

“A conflict of interest policy statement is distributed to all new board members and officers, which must be read, signed and returned to the corporate office for filing. Board members self-monitor their potential conflicts of interest, recusing themselves from discussion should a potential conflict of interest arise. When preparing and/or reviewing meeting agendas, management reviews for potential conflicts of interest to encourage discussion.”

“Executive officer salaries are reviewed using comparable data and reviewed annually by the executive board of ans. Key employee salaries are reviewed annually by the executive director/ceo. Salaries are approved by the board of ans, with approval duly noted in board minutes.”

“The conflict of interest policy is not available to the public. Governing documents are not required to be made public. Financial statements are available to the public by the illinois attorney general.”

“The finance committee in conjunction with the treasurer and chief financial officer assume oversight for the audit of its financial statements. Audited statements are reviewed by the treasurer, chief financial officer and the executive director/ceo. The finance committee makes a recommendation to the board of directors. Once the statements are approved by the board of directors the statements are presented to the membership.”
