Board members are in the same line of business and may conduct business with each other at arm's length in the normal course of business.

Form 990, Part VI, Section A, Line 7A

The initial number of Trustees of the Trust shall be three (3), and shall be comprised of the following individuals: (a) the Vice-Chairperson of the Board of Trustees College of Healthcare Information Management Executives (CHIME), and after the initial term has expired, then the Chairperson of the Board of Trustees of CHIME, who shall serve as ex-officio; (b) the President and Chief Executive Officer of CHIME, who shall serve as ex-officio; and (c) one (1) member of the Board of Trustees of CHIME who shall be appointed by the CHIME Board of Trustees. The number of Trustees may be expanded by the Board of Trustees by adding five (5) additional Trustees for a total of eight (8) members, which Board members must be approved by the CHIME Board of Trustees. If the Board of Trustees wants to expand the Board to have more than eight (8) members, it may do so by amending this Section of the Bylaws. Under all circumstances: (d) the majority of the Trustees shall be appointed by CHIME or be CHIME ex-officio members; and (e) no decrease in the number of Trustees shall have the effect of shortening the term of any incumbent Trustee.

ONE OF CHIME'S PURPOSES THAT CHIME HIT IS FULFILLING IS TO FIND UNIQUE IDENTIFIERS TO IDENTIFY PROBLEM OPIOD PRESCRIBERS AND PATIENTS. CHIME HIT'S ACTIVITIES IS CONSIDERED A CHARITABLE ACTIVITY DESCRIBED IN IRC SECTION 170(C)(2)(B) SINCE IT IS FOR SCIENTIFIC RESEARCH. THE RESEARCH DONE BY CHIME HIT IS AVALABLE TO THE GENERAL PUBLIC.
