Governance Explanations

Form 990, Part VI, Line 6 Classes of members or stockholders

Members of the corporation shall be appointed for a term of three (3) years. All members of the corporation shall be nominated pursuant to section 5.1, and shall be appointed by the members at an annual or special meeting of members. Every attempt shall be made in the selection of candidates for membership to secure the broadest diversity of representation of the community and its interests as possible, including the consideration of such factors as areas of expertise, background and aeras of residency.

The corporation members approve any proposed change in the purpose or philosophy of the corporation, and approve a plan of merger, consolidation, sale, or dissolution of the corporation.

Form 990, Part VI, Line 11B Review of form 990 by governing body

A copy of the form 990 is provided to the board of trustees for review. In addition, the form 990 is reviewed by the cfo and ceo for accuracy. The return is also reviewed by an independent accounting firm.

Form 990, Part VI, Line 12C Conflict of interest policy

Employees, management staff, and medical staff are responsible for disclosing potential conflicts of interest, and/or commitment to the corporate compliance officer. Disclosure shall include the type of potential conflict (conflict of interest or commitment), the nature of the activity, a description of all parties involved, the potential financial interests and rewards, possible violations of state and federal requirements, and any other information which the employee feels necessary to evaluate the disclosure. The corporate compliance officer and legal counsel will investigate the particular situation and determine if a violation of the conflict of interest policy has taken place.
