The Healthy Greater Newark Accountable Care Organization is a diverse team of Newark provider partners that includes hospital, Federally Qualified Health Centers, behavioral health, substance use disorder and community representation. ACO partners are working together to improve health and maximize efficiencies through provider level practice transformation and community engagement using data driven strategies.

To improve the care experience for medicaid enrollees and strengthen public health outcomes, while responsibly controlling the cost of care.

Governance Explanations

Part VI, Section A, Line 1

An executive committee of the board, which may, subject to the limitations provided by law or the by-laws, exercise such power and authority as may be granted by the board in the management of the business and affairs of the corporation between meetings of the board. The executive committee shall also have the exclusive authority to conduct performance evaluations of the executive director and oversee the development, implementation and administration of the corporation's human resources and personnel policies, including fringe benefit programs, wage and salary administration, and staffing requirements. The executive committee shall be responsible for originating discussion of legal and ethical issues of the corporation and reporting to the full board on these issues. The authority herein granted to the executive committee shall not relieve the board of any responsibility imposed upon it by law. The executive committee shall make a full report of all of its actions at the next meeting of the board.

Part VI, Section A, Line 7A

Upon the expiration of the term of each trustee, the governance committee, after consulting with and receiving recommendations from each affected sector, shall recommend at least one nominee to fill each vacated seat on the board. Within 10 days prior to the said annual meeting the secretary shall apprise the board of such nominations. A majority of the trustees serving in office shall be required to confirm the nominee recommendations submitted by the governance committee. The organization's officers shall be nominated by the committee of trustees.

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers in considering the proposed transaction or arrangement. The executive committee must be advised that an interested person has disclosed the existence of the financial interest. After disclosure of the financial interest and all material facts and after any disussion with the interested person, he or she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. In all situations, the board shall make the final determination of whether a conflict of interest exists. Visiting nurse association health group, inc., a member of a cooperative agreement with greater newark health care coalition (gnhcc), had an arrangement with gnhcc and its affiliate, healthy greater newark aco, to be the employer of record and to provide certain administrative support services, office space and office furniture/equipment in satisfaction of its membership obligation. Services under this agreement include, but are not limited to, payroll, human resources, personnel compliance, and information technology support services.

Visiting nurse association health group, inc., is a member of a cooperative agreement with greater newark healthcare coalition and affiliate. As part of this arrangement, visiting nurse association health group, inc. Pays for the salary of keri logosso-misurell, executive director, which is then invoiced to the greater newark healthcare coalition. The greater newark healthcare coalition and healthy greater newark aco have a managed services agreement (msa) where keri logosso-misurell then provides executive director services to the healthy greater newark aco as outlined in the msa.

And affiliate (healthy greater newark aco) for the years ended december 31, 2018 and 2017: greater newark health care coalition and affiliate's accounting policy is to evaluate uncertain tax positions in accordance with professional accounting standards. Pursuant to the guidance in the standards, greater newark heath care coalition, inc. And affiliate have determined that no unrecognized tax benefits exist as of december 31, 2018 and 2017 and does not expect this determination to change significantly over the next 12 months. Greater newark health care coalition and affiliate have not incurred any income tax related penalties or interest for the years ended december 31, 2018 and 2017. Should any such penalties and interest be incurred, greater newark health care coalition and affiliate's policy would be to recognize them as operating expenses.

IRS990/Desc0New Jersey Medicaid ACO Pilot supports the design and implementation of a Medicaid Accountable Care pilot in three NJ communities (Newark, Trenton and Camden) to explore innovative system re-design including (a) testing the ACO as an alternative to managed care, (b) evaluating how care management and care coordination could be delivered to high risk, high cost utilizers, (c) stretching the role of Medicaid beyond medical services to integrate social services and, (d) testing payment reform models including pay for performance metrics and incentives. ACO Infrastructure (The Nicholson Foundation) supports the Medicaid ACO pilot by funding core ACO staff, specifically an Executive Director and Data Analyst, and related efforts to research, design and implement ACO financing and care management models. ACO Infrastructure (Healthcare Foundation of NJ) supports the Medicaid ACO pilot by funding core ACO staff, specifically a Clinical Director, to oversee clinical operations of the ACO, including working with field staff and partner agencies on strategies to improve coordination and care delivery.
