“An executive committee of the board, which may, subject to the limitations provided by law or the by-laws, exercise such power and authority as may be granted by the board in the management of the business and affairs of the corporation between meetings of the board. The executive committee shall also have the exclusive authority to conduct performance evaluations of the executive director and oversee the development, implementation and administration of the corporation's human resources and personnel policies, including fringe benefit programs, wage and salary administration, and staffing requirements. The executive committee shall be responsible for originating discussion of legal and ethical issues of the corporation and reporting to the full board on these issues. The authority herein granted to the executive committee shall not relieve the board of any responsibility imposed upon it by law. The executive committee shall make a full report of all of its actions at the next meeting of the board.”
