Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The president reviews the form 990 and provides it to the full board prior to filing.

Form 990, Page 6, Part VI, Line 12C

Pc embraces a culture of candor and transparency. Conflict of interest policies cover all members of the board of directors and employees. Potential employee conflicts are reviewed by the employee's supervisor and the founding director and if no internal pathway is appropriate, the employee is encouraged to communicate directly with the board of directors. Members of the board of directors have a responsibility to notify the founding director of any potential conflict of interest. All possible conflicts are investigated promptly on a case-by-case basis and if warranted, appropriate corrective action is taken. Anyone following the policy in good faith is not subject to adverse action or retaliation. Any employee who fails to disclose a conflict of interest is subject to discipline, up to and including termination. A director who violates the policy is subject to removal from the board.

Form 990, Page 6, Part VI, Line 15A

Compensation for the founding director is determined in keeping with the guidelines and salary survey established by the association of art museum directors. The founding director's salary has not increased since it was set in 2017. Compensation determinations are made by consulting the salary surveys provided by the association of art museum directors and american alliance of museums together with ongoing monitoring of postings for comparable positions on job sites such as linkedin, museum hue, idealist, and indeed. A review of salaries reported on forms 990 at comparable cultural institutions also informs compensation determinations. All salaries are approved by the founding director.
