“The board of directors may create an executive committee, to consist of each of the officers of the corporation, serving ex officio, elected by a vote of a majority of all the directors then in office. In the absence of a resolution expressly granting authority to the executive committee, the executive committee shall have authority to act for the board of directors, except that it shall not have authority to alter or amend these bylaws; to remove or appoint members of the board of directors; to elect or remove the officers or president/ceo if any; to fill vacancies on a committee created under this article v; to authorize distributions; or to adopt an annual budget. The executive committee shall keep regular minutes of its proceedings and shall report the same to the board of directors when requested.”

Bloem, who is employed full-time by cws, serves as the part-time president/ceo of the organization for approximately 15 hours per week. The value of mr. Bloem's services, including salary, benefits, and related costs paid by cws, is recorded in accordance with generally accepted accounting principles (gaap) as both in-kind contribution revenue and a corresponding expense. The total estimated value of this contribution for the year ended december 31, 2024 was $83,586.”
