Governance Explanations

Form 990, Part VI, Section A, Line 3

The association contracts with a management company to provide an executive director and other staff to run the operations of the association. Their work and performance is closely monitored by the association's governing body.

Form 990, Part VI, Section A, Line 6

Members vote for the board once a year. The board is elected by the membership. The board acts on behalf of the membership and the association. The bylaws and articles of incorporation govern the voting rights and issues to be voted on by the membership.

Form 990, Part VI, Section A, Line 7A

Members vote for the board once a year. Awt sends out a list of board nominees and members vote, by mail, for the board members. This happens approximately 4 months before the convention. The board then votes for the officers.

Form 990, Part VI, Section A, Line 7B

Members vote for the board once a year. Awt sends out a list of board nominees and members vote, by mail, for the board members. This happens approximately 4 months before the convention. The board then votes for the officers.

Form 990, Part VI, Section B, Line 11B

Both the executive director and the treasurer get a copy of the 990 to review. At this time they can ask questions and changes can be made to the 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Policies are discussed at each board meeting and adherence to the policies is discussed and affirmed.

Form 990, Part VI, Section B, Line 15

Additional Explanations

FORM 990, PART XII, LINE 2C:

No change from prior year.

Financial Statement Notes

PART X, LINE 2:

The association is exempt from federal income tax under section 501(c)(6) of the internal revenue code. Income taxes are payable only on business activity income unrelated to the association's tax-exempt purpose. Accounting principles generally accepted in the united states of america require the association to evaluate tax positions taken and recognize a tax liability if it is more likely than not that uncertain tax positions taken would not be sustained upon examination by taxing authorities. The association has analyzed tax positions taken and has concluded that, as of december 31, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. For the years ended december 31, 2024 and 2023, the association had no interest and penalties related to income taxes. The association is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Generally, the association's tax returns remain open for three years for federal and state examination

PART XI, LINE 2D - OTHER ADJUSTMENTS:

Cogs included on part viii line 10b

PART XII, LINE 2D - OTHER ADJUSTMENTS:

Cogs included on part viii line 10b

Part VIII, Line 10B

The cost of publications sold is subtracted from publication revenue in part viii, line 10b. Therefore, this is a reconciling item for total revenue and total expense for the financial statements versus the irs form 990.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE ASSOCIATION IS EXEMPT FROM FEDERAL INCOME TAX UNDER SECTION 501(C)(6) OF THE INTERNAL REVENUE CODE.
