Governance Explanations

Form 990, Part VI, Section A, Line 3

The organization has contracted with a property management firm to repair and maintain the common areas for which the organization was created. The property management firm currently charges a flat monthly fee of $569 (increasing from $558 in september 2020) to manage the organization, including accounting and reporting responsibilities, working with the board of directors, advertising, billing and collections, and bill payment, among other things. Additionally, the management firm conducts all repair and maintenance activities; those charges are billed to the organization at standard rates charged to other customers.

Form 990, Part VI, Section A, Line 6

The organization is responsible for maintaining a public municipal-like area within the city of helena that was developed by a private developer. Members of the organization generally consist of business owners within the project area. Annual fees are assessed to the members quarterly based upon the adopted budget.

Form 990, Part VI, Section A, Line 7A

Each property owner within the boundaries of the development automatically becomes a member at the time of purchasing property. Each member has one vote and a board of directors, consisting of 2 members, is elected annually. The board is responsible for conducting the day-to-day affairs of the organiztion.

Form 990, Part VI, Section B, Line 11B

After being prepared, the form 990 is provided to the board of directors for review and signing. The board generally reviews the 990 at one of its meetings and then authorizes an appropriate individual to sign the 990. However, if the timely filing of the return, including extensions, requires the 990 to be filed without review of the board, the return is signed and filed by a responsible individual and the 990 is reviewed at a subsequent meeting.
