Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 was provided to the full board for review and voting on approval prior to filing.

Form 990, Part VI, Section B, Line 12C

Organization policy requires periodic reviews for conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Compensation of the executive director is determined by the personnel committee. Annually, the executive committee uses a performance evaluation to independently determine whether the executive director should receive a raise. Factors considered during evaluation are performance of the executive director and the organization as a whole. In addition, board members use wage comparisons obtained from a salary survey conducted by the national museum association to determine the feasibility of establishing a contract with the executive director stipulating a full-time salary while maintaining a competitive business strategy.

Form 990, Part VI, Section C, Line 18

Organization makes the form 1023 and form 990 available to the public upon written request.

Form 990, Part VI, Section C, Line 19

Organization makes governing documents, conflict of interest policy and financial statements available to the public upon written request.

Additional Explanations

Form 990, Part XI, Line 8

Restatement of previously issued financial statements the museum has restated its previously issued financial statements for the year ended december 31, 2022, to reflect a correction in the classification of net assets with donor restrictions. It was determined that net assets with donor restrictions were understated by $271,239 due to certain revenues being incorrectly recorded as unrestricted. This restatement increased net assets with donor restrictions; however, it had no impact on total net assets. It was also identified that pledges receivable totaling $491,040, related to multi-year grant commitments, met the criteria for recognition in the year ended december 31, 2023. As a result, the 2023 financial statements have been restated to reflect the recognition of these amounts. In addition, in-kind contributions totaling $132,392, originally reported as unrestricted during the year ended december 31, 2023, were reclassified as restricted due to their association with the capital campaign. It was further determined that funds totaling $220,402, previously reported as restricted, met the conditions for release and should have been classified as unrestricted. The 2023 comparative financial statements have been revised to reflect this restatement and ensure consistency in financial reporting.
