Governance Explanations

Form 990, Part VI, Section B, Line 11

An independent auditor presents an audit report to the board of directors at our january board of directors meeting. The 990 document is made available to all board members at the board of directors meeting after it is filed.

Form 990, Part VI, Section B, Line 12C

All board members and employees are required to complete the "annual conflict of interest disclosure statement for directors" form. Questions or concerns are to be directed to the executive director or the chairman of the board of directors. Affidavits and other information is then reviewed and the executive director and president take appropriate action depending upon the seriousness of the conflict of interest, which may include meeting with the individual, immediate discharge, or asking the individual to remove himself from the conflict of interest situation. The procedure is outlined in the mbc policy and procedures manual.

Form 990, Part VI, Section B, Line 15

The executive director reports to the budget committee members on key employee performance. The budget committee then goes into a closed session and decides on compensation for all 5 employees which is presented to the full board to vote on. Salaries are also reviewed with other beef councils for comparability purposes and information was presented to the board.

Form 990, Part VI, Section C, Line 19

15,000 annual reports were mailed to producers through the 5 major cattle producer organization newletters; an additional 1,000 reports were printed to take to other meetings, individual letters and other requests. Each board of directors member received a financial report from our auditing firm. Financial information is available on an individual basis as requested.
