“Each director, prinicpal officer, and member of a committee with governing board-delegaed powers, shall annually sign a statement affirming such person 1. Has recieved a copy of the conflict-of-interest policy 2. Has read and understands the policy 3. Has agreed to comply with the policy 4. Understands the organization is charitable and, in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. To help ensure the organzation operated in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. Periodic reviews shall include, at a minimum, the following subjects whether 1. Compensation arragenents and benefits are reasonable, based on competent survey information, and the result of arms-length baragining and, 2. Whether partnerships, joint ventures, and arragements with management organizations conform to written policies, are properly recorded, reflect reasonable investment or payment amounts for goods and services, further charitable purposes, and do not result in injurment, impressible private benefit, or an excess benefit transaction.”

“Periodic reviews are performed to ensure whether compensation and benefits are reasonable based on competent survey information and dealings are representative of arms-length bargining.”
