Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the association shall be open to any person eighteen (18) years of age or older, who is and a current resident of carter county. A person is entitled to membership upon payment of not less than the sum of ten dollars ($10.00). A member of the association that is in good standing shall: 1. Be qualified to vote on any issue that may properly come before any meeting of the members of the association and: 2. Hold any office in the association to which he/she may be elected or appointed.

The governing board shall consist of seven (7) members, defined in article i, section 1, elected by the members of dahl memorial healthcare association. An individual who is employed by the association shall not be eligible to serve on the association's governing board. Election of all board members shall occur in september of each year. Their terms of office shall be for a period of three (3) years and shall begin immediately after an election. The governing board shall have the authority to appoint an association member to fill vacant board position(s) until an election of the association membership is conducted. Upon election by association membership, the elected board member(s) shall fill the entire remaining term of the original board member(s).
