“The corporation has two classes of members: (i) regular members (the "regular members"), and (ii) associate members (the "associate members and, collectively with the regular members, the "members"). Any request to join the membership of the corporation shall be reviewed and processed in accordance with a policy adopted by the board, provided that such policy shall require the authority of any member be determined prior to the admission to the membership of the corporation. “Directors shall disclose to the board any conflict of interest they may have in a transaction with the corporation. The interested director shall abstain from voting on the transaction, provided however, that the director's presence may be counted in determining whether there is a quorum present at such meeting. The disclosure must be in writing and must provide all facts known to the director about the subject matter of the transaction that an ordinarily purduent person would reasonably believe to be material to judgement about whether or not to proceed with the transaction.”

“The governing documents, conflict of interest policy, and financial statements are maintained at the organization's office and are available upon request.”
