Governance Explanations

Form 990, Part VI, Section A, Line 6

The corporate members shall be comprised of the following: i) the board of directors; ii) a maximum of three representatives of the partners as selected by the partners; and iii) a maximum of two representatives of the research fellows as selected by the research fellows. Partners are the institutions that are approved as a formal part of the pep network. New partners may be proposed by any existing partner or by the executive director of pep. Approval by a meeting of the corporate members is required before issuing a formal invitation to become a partner. Acceptance as a partner remains conditional upon the further requirements set forth in the pep governance, management and operations manual (hereinafter "the pep gmo manual") as it may be amended from time to time. Pep research fellows are reseachers who have served as members of a research team in a pep project and who wish to continue playing an active role in the pep network. The process for proposing, evaluating, and selecting research fellows shall be as set forth in the pep gmo manual. Any corporate member may resign as such at any time by written notice to the clerk of corporation. Any corporate member may be removed from corporate membership status, with or without assignment of cause, by a vote or two-thirds of the entire corporate membership. No corporate member shall be removed from corporate membership unless the notice of the meeting at which removal is to be considered states such purpose and opportunity to be heard at such meeting is given to the corporate member whose removal is sought.

Form 990, Part VI, Section A, Line 7A

The corporate members by majority vote shall elect the board of directors of the corporation. The corporate members shall establish a nominating committee comprised of two directors, one partner, and one external member to nominate individuals for consideration as directors. Any vacancy occurring in the board of directors shall be filled by the corporate members.

Form 990, Part VI, Section A, Line 7B

The corporate members by majority vote shall have the following powers and rights of the corporation: i) to elect the board of directors of the corporation as provided in artlice 4.2 of the bylaws, ii) to approve all amendments to article 3 (corporate members) and article 4 (board of directors) of the bylaws, as provided below in article 14 (amendments to bylaws), and iii) such other powers and rights as are vested in members by the laws of the state of delaware. Approval by a meeting of the corporate members is required before issuing a formal invitation to become a partner.

Yes, the policy has been continually encorced by the executive director and the board of directors. All members upon appointment, declare any private, professional or commercial interests that might be conceivably in conflict with the interests of pep. Members must complete a short return to register of interests that indicate any substantive interest in institutions that might receive pep awards, or organizations that might receive sub-contracted work. The interests are registered centrally and updated annually. Before any meeting, the chair will be briefed on any potential conflicts of interest that might be generated by items on the agenda. The register of interests is used as a source material for the briefing. At the beginning of each agenda item, the chair draws attention to any potential conflict of interest and invites the committee to agree what action to take. A member who has a conflict of interest on any agenda item under discussion, withdraws from the meeting for that item. Members are also expected to declare at meetings any interests that may be perceived as conflicting and that are not identified by the chair. The minutes of such meetings record decisions about conflict of interest, any withdrawals for particular items and the reasons for the withdrawals. The policy has been continually enforced by the executive director and the board of directors. Policies will also be reviewed periodically to ensure compliance with current law.

Comparisons were made for similar organizations (i.e. Aerc, pasgr, cgiar systems, idrc tec) and salary history to ensure competitiveness and to attract the selected candidate through an open international competitive selection. Final review and approval was made by the board of directors and contemporaneous substantiation of the deliberation and decision was recorded in the meeting minutes. As pep grows and begins to hire more employees, other key employees will be hired, and compensation determined, subject to final review and approval of the hr policy by the board of directors, examination of appropriate salary survey data, and contemporaneous substantiation of the final decision in board meeting minutes

FIRST, PEP AIMED TO BUILD ITS THOUGHT LEADERSHIP IN THE EMERGING AREA OF HOW ARTIFICIAL INTELLIGENCE IS AFFECTING JOBS GLOBALLY WITH A FOCUS ON DEVELOPING NATIONS, WHICH WAS ONE OF THE THEMES OF OUR ANNUAL POLICY CONFERENCE ORGANIZED IN JUNE 2024 PHYSICALLY IN NAIROBI. THE CONFERENCE ALSO FEATURED A DIALOGUE FROM A RESEARCH PROGRAM REVIEWING POLICIES TO CREATE DIGNIFIED AND FULFILLING WORK FOR YOUNG MEN AND WOMEN ACROSS THE AFRICAN CONTINENT, IN PARTNERSHIP WITH THE MASTERCARD FOUNDATION. SECOND, LOCAL PEP RESEARCHERS IN PAKISTAN AND SOUTH AFRICA, SUPPORTED BY THE CENTRE, EXPLORED THE CRUCIAL ROLE OF LOCAL AND FOREIGN INVESTMENT, INCLUDING THAT BY MULTILATERAL DEVELOPMENT BANKS (MDBS), IN PARTICULAR, IN FINANCING GREEN ENERGY TRANSITION IN THE GLOBAL SOUTH.PEP ALSO CONTINUED TO FOCUS ITS RESEARCH ON EMPOWERING WOMEN IN SOUTHERN COUNTRIES WITH SUPPORT FROM FUNDERS LIKE THE HEWLETT FOUNDATION AND CANADA'S INTERNATIONAL DEVELOPMENT RESEARCH CENTRE (IDRC). A RECENTLY CONCLUDED PROGRAM EXPLORED MACROECONOMIC POLICIES TO PROMOTE GENDER EQUALITY IN AFRICA, WHILE ANOTHER STUDIED HOW SOFT SKILLS TRAINING IN KENYA COULD BOOST WOMEN'S EMPLOYMENT IN THE FORMAL ECONOMY. AS PART OF THE ONGOING RESEARCH ON HOW THE RUSSIA-UKRAINE WAR IMPACTED AFRICAN ECONOMIES, RESEARCHERS ANALYSED HOW THE WAR AFFECTED WOMEN IN THE LABOUR MARKET. ONCE INTERESTED RESEARCHERS APPLY (SUBMITTING PROPOSALS), THESE PROPOSALS ARE SCREENED BY A TEAM OF PEP EXPERTS TO COME OUT WITH THE BEST RESEARCH PROPOSALS TO BE FUNDED. THE SHORTLISTED RESEARCH TEAMS UNDERGO AN ONLINE COURSE TO SHARPEN THEIR TECHNICAL SKILLS (ANALYTICAL SKILLS) USING TOOLS THAT WILL HELP THEM IN THE RESEARCH. THEY ARE EVENTUALLY INVITED TO A PEP ANNUAL GENERAL MEETING TO HAVE FURTHER TRAINING AND THEN PRESENT THEIR REFINED PROPOSALS FOR CONSIDERATION. ONCE THE BEST TEAMS ARE SELECTED, THEY ARE ASSIGNED A SUPERVISOR, WHO SUPERVISES THEM THROUGHOUT THE CYCLE OF THEIR RESEARCH (BETWEEN 18 TO 24 MONTHS) DEPENDING ON THE TYPE OF RESEARCH INVOLVED. PEP HAS A GRANTS MANUAL THAT STIPULATES THE AMOUNT TO BE AWARDED FOR EACH TYPE OF GRANT AND ANY GRANT DISBURSEMENTS TO A RESEARCH TEAM THAT IS AFTER ATTAINING A RESEARCH MILESTONE AGREED IN A CONTRACT WITH THE TEAM PEP APPROVED BY THEIR RESEARCH SUPERVISOR. THE GRANTS GIVEN ARE USUALLY FOR THEIR DATA COLLECTION AND RESEARCH COSTS. DEPENDING ON THE NATURE OF THE RESEARCH, FUNDING MAY BE SENT TO AN INSTITUTION WHERE THE RESEARCH TEAM WORKS OR THE TEAM LEADER IN A RESEARCH TEAM.
