Mission

To provide food and shelter to homeless in Marquette

Room at the Inns mission is to offer comprehensive support including emergency shelter food and case management services to families and individuals experiencing homelessness or a housing crisis in the Upper Peninsula. Our flagship facility know as the Warming Center is located at 447 W Washington St. in Marquette MI. The Warming Center provides free meals laundry and shower service phone mail service and most importantly a sense of community for our most vulnerable neighbors. Various community agency representatives are available on-site to meet with guests regarding employment housing health care or any other matter that helps with regaining independence and housing stabilty. Room at the Inn opened a family shelter in Ishpeming in November 2024 ran an emergency motel voucher program and provided street outreach case management services for unsheltered individuals and families in Alger and Marquette counties.

Governance Explanations

Part VI, Section B, Line 1

QUORUM AND VOTING REQUIREMENTS. A majority of the directors then in office and a majority of any committee appointed by the Board constitutes a quorum for the transaction of business. The vote of a majority i.e. more than half of the directors or committee members present at any meeting at which there is a quorum shall be the acts of the Board or the committee except as a larger vote may be required by the laws of the State of Michigan these bylaws or the Articles of Incorporation. A member of the Board or of a committee may participate in a meeting by conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear one another. Participation in a meeting in this manner constitutes presence in person at the meeting. There is no proxy voting. Directors may not vote or sign Board resolutions or consents by proxy.

This Form 990 was drafted by the Treasurer and Executive Director in consultation with the Fractional Comptroller. It was emailed to the Finance Committee and presented to full Board for review prior to submission.

Part VI, Line 12C

Annual Conflict of Interest Policy reminder and updated signatures. Per agencyby-laws: CONFLICT OF INTEREST. Conflict of Interest occurs whenever there is a conflict or appearance of a conflict between the private interests and the professional responsibilities of board members staff members or volunteers. Whenever the organization is considering a relationship with a supplier partner or client the Board realizes the potential for a conflict of interest exists. In addition to business transactions these situations are considered conflicts of interest: 1. Board members related to other board members 2. Board members supervising staff who are family members 3. Board members being considered for employment In the event of an actual or possible conflict of interest any interested persons must notify the Board Chair of said conflict of interest - or if they believe anyone else is facing a potential conflict of interest. After a disclosure has been made to the Board Chair it will be the responsibility of the Chair to all material facts and after any discussion with persons involved the persons conflict shall be discussed and addressed by the Board without the presence of said persons of interest present. Failure to reveal the conflict of interest or to disclose all relevant matters of fact may result in further Board action. Board members agree to abide by the conflict of interest policy as enacted by the Board.

Part VI, Line 15

The Board conducts an annual performance review and evaluation of the Executive Director incorporating feedback and mutually defined goals and may consider a salary increase based on comparability data which is documented in a written amendment to the Employment Agreement. This structured process ensures fair and transparent compensation decisions with oversight by independent Board members and thorough documentation.

Room At The Inn posts its IRS Form 990 on our website submits it to the Michigan Attorney General as a charity approved to solicit in the state and to public and private grantors. The Form 990 as well as the other documents listed are all available upon request.

Part III, line 2

Room at the Inn launched the Family Shelter Program in November 2024 to offer emergency housing to families with children experiencing homelessness excluding those fleeing domestic violence. The program utilizes leased apartments and scattered-site units to provide a safe private and stable environment for families as they pursue permanent housing. Supportive services include housing navigation school coordination transportation assistance and healthcare access. Room at the Inns Street Outreach Program engages unsheltered individuals living in locations unfit for habitation such as vehicles tents or abandoned buildings. Outreach workers establish trust assess needs provide survival supplies food blankets clothing hygiene kits and link them with shelter healthcare and long-term housing resources. In 2024 the outreach team assisted over 160 individuals with life-sustaining support.

Scope of Engagement with Enhance C Suite: Under the Engagement we will perform the following services however this list may not be comprehensive and to that end we will work under your direction on an as-needed basis as outlined in the attached proposal: a Back-Office Accounting defined as monthly Balance Sheet reconciliations and related activities journal entry preparation reconciliation of bank and credit card statements; b Financial statement preparation and presentation; c Audit assistance and compliance reporting; d Finance process improvement to ensure the implementation of best practices and systems; e Providing recommendations to enhance financial performance and business opportunities strategically. In addition to our overnight emergency shelter with 46 beds the Warming Center provides access to essential daytime services including two hot meals per day showers laundry Wi-Fi hygiene supplies and case management support. It also serves as a centralized location for collaborative on-site services such as mental health counseling Medicaid enrollment transportation coordination and access to vital documents through partner agencies. In 2024 the Warming Center served around 50 unsheltered individuals daily and functions as the central hub for street outreach and community referrals.

IRS990/MissionDesc0Room at the Inns mission is to offer comprehensive support including emergency shelter food and case management services to families and individuals experiencing homelessness or a housing crisis in the Upper Peninsula. Our flagship facility know as the Warming Center is located at 447 W Washington St. in Marquette MI. The Warming Center provides free meals laundry and shower service phone mail service and most importantly a sense of community for our most vulnerable neighbors. Various community agency representatives are available on-site to meet with guests regarding employment housing health care or any other matter that helps with regaining independence and housing stabilty. Room at the Inn opened a family shelter in Ishpeming in November 2024 ran an emergency motel voucher program and provided street outreach case management services for unsheltered individuals and families in Alger and Marquette counties.
