Governance Explanations

Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, Et

Cielo sichi, board member, was paid $19,450 for work as course instructor.

Form 990, Part VI, Line 11B: Form 990 Review Process

Form 990 is prepared by an outside tax professional. The form is then reviewed by the organization's management, a member of the board of directors and the executive director. This group of individuals then discusses the contents of the return with the outside tax professional. After a full review (with modifications where necessary), the final version of the return is provided to all members of the organization's voting body. A representative of management approves the final return which is then e-filed with the internal revenue service.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Members of the board of directors review all potential conflicts of interest at least annually. All personnel and board members are required to dislose (in writing) potential conflicts and any related party affiliations. Loans from the organization to members of management or to the board are strictly prohibited. The organization seeks full transparency on all relationships. Any potential conflicts (in fact or appearance) are discussed openly and resolved in accordance with the organization's policies and procedures.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Members of the board of directors review the compensation of all high-level personnel periodically in accordance with irs rules and regulations. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries. Every effort is made to ensure that the process is thorough and transparent in accordance with irs guidelines and the organization's policies and procedures. Final compensation adjustments are approved by the board.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

Compensation of other individuals (including high-level personnel and key employees) is reviewed periodically by members of management. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries and all related benefits. All decisions are then documented in personnel files.

Form 990, Part VI, Line 19: Other Organization Documents Publicly Available

All of the organization's governing documents, financial statements and other legal filings are maintained in a secure environment and held available for inspection by tax authorities and the general public. Tax returns are posted annually to www.guidestar.org (where they are available for viewing as electronic copies) and are also available at the organization's office in berkeley, ca (for a physical inspection).

IRS990/ProgSrvcAccomActy2Grp/Desc0Rated Landscapes: ReScape Rated Landscapes are certified using a rating system that recognizes excellence in sustainable landscape design, construction and maintenance practices. This voluntary rating system applies to new construction or major renovations of civic, commercial, institutional and multifamily property landscapes. It provides property owners and landscape professionals with a flexible, systematic framework for creating healthy, drought-tolerant and environmentally sound landscapes.Climate Equity - ReScapes whole systems foundation requires that landscaping and land use must include and listen to communities of concern, those lacking access and unequally effected by a warming planet. We must ensure a healthy environment, job equity and economic benefits in underserved communities. We aim to be part of a just transition. The only workable climate change solutions include racial, environmental and socioeconomic justice.

IRS990/ProgSrvcAccomActy3Grp/Desc0Advocacy & Policy - ReScape advocates for state and regional policies, permits, ordinances that encourage and enable implementation of and compliance in regenerative land use. Landscapes produce 12% of GHG emissions. Opportunities exist to reduce emissions and increase the potential to sequester carbon from the atmosphere by enhancing sinks. At a time when climate change, coupled with biodiversity loss, has created a profound, existential planetary emergency, there is an urgent need for the nature-based solutions provided by restored and climate positive landscapes. Our policy focus creates the framework for adoption of legislation at governmental and civic levels to implement regenerative principles that address earthscaping climate change issues. We do this directly through our ReScape Rated Program. Landscapes are certified using a rating system that recognizes excellence in regenerative landscape design, construction and maintenance practices. This rating system applies to new construction or major renovations of civic, commercial, institutional and multifamily property landscapes. It provides property owners and landscape professionals with a systematic framework for creating healthy, drought-tolerant and biodiverse landscapes.
