Governance Explanations

As provided in the bylaws, there are voting member organizations, presently fourteen in number, and all such voting member institutions are 501(c)(3) organizations.

Form 990, Part VI, Section A, Line 7A

At the annual meeting of the membership, the 501(c)(3) voting member institutions elect the board of directors. Each member organization is represented by a delegate who casts a vote on behalf of the member organization. There must be a quorum of voting members, and a majority vote of the voting members carries, so no single member organization has any possibility of exerting control over the organization.

Since there are voting member organizations, presently fourteen in number, with all such voting member institutions are 501(c)(3) organizations, and such voting members elect the board of directors, it may be said that the board is accountable to the membership as would be the case in any membership organization where the members elect the board.

Prior to filing, the 990 prepared by an outside accounting firm is sent to all board members for review and comment. Staff responds to any questions or comments.

The bylaws require the following action annually: that each officer, director and committee member annually sign a statement affirming that s/he has received a copy of the conflicts policy, has read and understands the policy, and has agreed to comply with it. Further, that s/he understands that the organization is charitable in nature and must engage in actions in furtherance of its tax exempt purposes. The board, audit committee, and cfo monitor enforcement of the conflicts policy.

The executive committee does a 360 review and the executive committee as a whole approves the compensation of the ceo. The executive committee does the review and recommends the compensation.

The process for overseeing the audit of the financial statements and selection of an independent accountant that audited the financial statements has been consistent with prior years.

Financial Statement Notes

PART X, LINE 2:

Vega has adopted the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this policy, vega may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position would be sustained on examination by taxing authorities, based on the technical merits of the position. Management has evaluated vega's tax positions and has concluded that vega has taken no uncertain tax positions that require adjustment to the financial statements to comply with provisions of this guideline. Generally, the organization is no longer subject to u.s. Federal tax examinations by tax authorities for years ended before 2013.

UNDER THIS POLICY, VEGA MAY RECOGNIZE THE TAX BENEFIT FROM AN UNCERTAIN TAX POSITION ONLY IF IT IS MORE LIKELY THAN NOT THAT THE TAX POSITION WOULD BE SUSTAINED ON EXAMINATION BY TAXING AUTHORITIES, BASED ON THE TECHNICAL MERITS OF THE POSITION. MANAGEMENT HAS EVALUATED VEGA'S TAX POSITIONS AND HAS CONCLUDED THAT VEGA HAS TAKEN NO UNCERTAIN TAX POSITIONS THAT REQUIRE ADJUSTMENT TO THE FINANCIAL STATEMENTS TO COMPLY WITH PROVISIONS OF THIS GUIDELINE. GENERALLY, THE ORGANIZATION IS NO LONGER SUBJECT TO U.S. FEDERAL TAX EXAMINATIONS BY TAX AUTHORITIES FOR YEARS ENDED BEFORE 2013.
