Governance Explanations

Form 990, Part VI, Section A, line 2

Many of the Board Members and Officers have a business relationships with each other by virtue of employment by related organizations.

Form 990, Part VI, Section B, line 11B

IRD hires a CPA firm to prepare the Federal Form 990. After the draft 990 is delivered, the CFO, President & CEO perform the first level of reviews. Next, it is sent to the full Board for their review. Once reviewed, the 990 is signed by the President & CEO and electronically filed by the CPA firm on IRD's behalf.

Form 990, Part VI, Section B, line 12C

As set forth in IRD's "Code of Business Ethics and Conduct", the Board of Directors and employees are required to conform to certain professional and ethical standards. The Board of Directors and employees are required to disclose professional affiliations and personal relationships which may constitute a conflict of interest or create the appearance of a conflict. IRD employees must comply with annual requests to complete Form A, Conflict of Interest, where employees must identify conflicts and disclose them properly to IRD compliance staff who take appropriate measures if necessary. In addition, IRD maintains a corporate hotline with anonymous reporting capabilities for employees to report all suspected violations of IRD's Code of Business Ethics and Conduct, IRD's policies and government regulations.

Form 990, Part VI, Section B, line 15

IRD's HR & Compensation Committee is made up of Board Members who are Independent with Regards to Executive Compensation, are not employees of IRD, and receive no compensation from the organization. HR & Compensation Committee relies on industry salary surveys, executive compensation review by professional management firm, and other comparable information to review the compensation of President and CEO. The executive team in consultation with the department determines compensation of other key personnel.

Financial Statement Notes

Part X, Line 2:

Management of the Organization has evaluated its tax positions for the years ended December 31, 2016 and 2015, in accordance with the authoritative guidance relating to accounting for uncertainty in income taxes included in Accounting Standards Codification (ASC) Topic 740, Income Taxes and has determined that the Organization has no material uncertain tax positions and, accordingly, it has not recognized any liability for unrecognized tax. For the years ended December 31, 2016 and 2015, the statute of limitations for tax years ended December 31, 2011, through December 31, 2015, remains open in the major U.S. taxing jurisdictions in which the Organization is subject to taxation. The Organization's practice is to recognize interest and/or penalties related to income tax matters in income tax expense.

International Relief and Development Holdings, Inc., (IRD Holdings) was established to be the parent company, with all other organizations noted below as supporting organizations, IRD Holdings was incorporated in the commonwealth of Virginia on February 1, 2008, as a not-for-profit organization. The purpose of IRD Holdings is to form, acquire, manage and/or hold subsidiaries in the United States and countries throughout the world that work towards improving the quality of life op people in the poorest parts of the world. International Relief and Development, Inc., (IRD) was incorporated in the commonwealth of Virginia on March 6, 1998, as a not-for-profit organization, the purpose of IRD is to deliver innovative, evidence-based, locally driven solutions that advance the aspirations of people, communities and donor partners worldwide. IRD's primary sources of financial support come from contracts, grants and cooperative agreements from the US government and multilateral donors. IRD also receives the donation of in-kind humanitarian commodities and goods, as needed, to support its programs. International Relief and Development US, Inc., (IRD US) was incorporated in the commonwealth of Virginia on December 8, 2005, as a not-for-profit organization. The purpose of IRD US is to work towards improving the quality of life op people in the poorest parts of the World. IRD US' primary support comes prom contracts and grants prom the multilateral development organizations and foreign governments worldwide. IRD Solutions, LLC (IRD Solutions), a single member LLC with IRD Holdings being the sole member, was formed and incorporated on October 1, 2012, to further develop IRD Holdings charitable endeavors. IRD Holdings completed all such activities in 2016 and intends to close this entity in 2017. International Relief and Development Global Organization (IRD Global), a not-for-profit entity, was formed and incorporated in the republic of Slovenia on March 11, 2010. IRD intends to complete all activities in 2017 and intends to close this entity in 2017.

The Board of Directors and employees are required to disclose professional affiliations and personal relationships which may constitute a conflict of interest or create the appearance of a conflict. IRD employees must comply with annual requests to complete Form A, Conflict of Interest, where employees must identify conflicts and disclose them properly to IRD compliance staff who take appropriate measures if necessary. In addition, IRD maintains a corporate hotline with anonymous reporting capabilities for employees to report all suspected violations of IRD's Code of Business Ethics and Conduct, IRD's policies and government regulations.
