Form 990, Page 6, Part VI, Line 11B

Form 990 is reviewed and discussed by board of directors before being "approved" by board vote.

Form 990, Page 6, Part VI, Line 12C

The organization requires board members to complete a conflict questionnaire each year. New board members are required to complete the questionnaire when joining the board. The conflict policy is based on the irs model conflict of interest policy, which is an attachment to form 1023. It adds information needed to allow st. Louis health equipment lending program (st. Louis help) to assess director independence in order to answer questions on form 990.

Form 990, Page 6, Part VI, Line 15A

The board of directors hires and manages the executive director. The executive director is responsible for hiring and firing other staff. Currently, the executive director is the only executive or top management official within the organization. We are fortunate to have two long time employees with the organization and now have two part time people. When hiring for any role, the executive director creates a detailed job description, determines salary based on local nonprofit averages, advertises the role in indeed and interviews candidates and hires them based on ability and merit. We have a focus on increasing diversity within our team as well as our volunteer board, leading to some very talented members of our team.

Form 990, Page 6, Part VI, Line 15B

Board of directors compensation committee reviews officer and key employee compensation amounts and approves.

Governing documents are available at the state of mo secretery of state's office:https://www.sos.mo.gov/business/corporations stlhelp requires each board member to sign a conflict of interest policy annually. Additional Explanations

Form 990, Page 2, Part III, Line 4A

In 2024, stlhelp further advanced its mission of restoring independence, preserving dignity and caring for the planet by making free home medical equipment available to thousands of individuals across the st. Louis region. Our programmatic impact included providing equipment to more than 2,600 older adults and 127 children and young adults, ensuring people of all ages could heal safely, age at home, and engage fully with their families and communities. On the environmental front, we diverted 185 tons of home medical equipment from landfill in 2024a 22% year-over-year increaseturning what was once waste into renewed mobility for our neighbors. We achieved all this while holding administrative and support costs lean, demonstrating strong stewardship of donor resources and reinforcing that every dollar entrusted to us delivers direct benefit to people and planet. As we look ahead, our focus remains on expanding our reach, deepening our partnerships and ensuring that no one in our region is denied vital equipment because of cost, insurance or wait time.

Form 990, Part XI, Line 9

Effective january 1, 2024, taxpayer adopted the gaap standard for lease accounting under asc 742. The cumulative prior impact of implementing this standard resulted in an increase to prior retained net assets of 7,730.

Form 990, Page 12, Part XII, Line 1

Taxpayer adopted several aspects of general accepted accounting principles in the united states of america ("us gaap") during tax year 2024, including certain accrued expenses and the adoption of the lease accounting standards under asc 842. The lease standards are the only item that resulted in a cumulative adjustment to prior retained net assets as discussed in part xi.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2FORM 990 IS REVIEWED AND DISCUSSED BY BOARD OF DIRECTORS BEFORE BEING "APPROVED" BY BOARD VOTE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE ORGANIZATION REQUIRES BOARD MEMBERS TO COMPLETE A CONFLICT QUESTIONNAIRE EACH YEAR.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE BOARD OF DIRECTORS HIRES AND MANAGES THE EXECUTIVE DIRECTOR.
