Governance Explanations

Form 990, Part VI, Section B, Line 11B

Officers, board members and management all review the full 990 prior to filing with the irs and are given an opportunity for comment.

Form 990, Part VI, Section B, Line 12C

Sfi's conflict of interest policy for board and staff, which all board members, officers, and key employees receive, provides that board members, officers, and key employees have a continuing obligation to report conflicts and must promptly report any conflict that has not previously been reported. Board directors that are deemed to have a conflict of interest based on the above processes must abstain from participating in the discussion and voting on any transaction or item wherein a conflict exists. Officers and key employees are not permitted to participate in a decision in which they have a conflict of interest.

Form 990, Part VI, Section B, Line 15A

Sfi evaluates ceo and executive management compensation against published sources applicable to the sector and/or with the assistance of an experienced independent consulting firm. The audit & compensation committee reviews any compensation adjustment for the ceo. The president/ceo does not participate in this review and abstains from the meeting of the committee. After thorough review and other relevant information, including performance review, the audit & compensation committee determines ceo compensation. The ceo, in combination with the senior leadership team, retains the right to set all other employee compensation.

Form 990, Part VI, Section C, Line 19

Sfi's governing documents, complaint resolution, operations as a public charity, strategic direction, and transparency policy are available on sfi's website. The conflict of interest policy, financial statements, and the federal form 990 are available upon request for the same period of disclosure as set forth in section 6104(d).
