This requirement may be satisfied by face-to-face meetings among officers of Centerspot, Inc. and officers of CocoKids, Inc., by regular communication among them regarding the investments of Centerspot, Inc. and plans for the distribution of its assets, and by forwarding to an officer of CocoKids, Inc. the quarterly statements from Centerspot, Inc.s brokerage firm. By a letter agreement between Centerspot, Inc. and CocoKids, Inc., officers of the two organizations meet at least quarterly to review the investments of Centerspot, Inc. and to consider grants or loans from Centerspot, Inc. to CocoKids, Inc.

Centerspot, Inc. owns and maintains offices that Centerspot, Inc. leases to CocoKids, Inc. These are an office building and two office condos in office parks on Detroit Avenue in Concord, California and on Lone Tree Way in Antioch, California. Both are in Contra Costa County. CocoKids, Inc. uses the offices to administer its exempt activities. If Centerspot, Inc. did not hold and maintain the office building and the office condos and lease them to CocoKids, Inc., then CocoKids, Inc. would need to acquire the buildings and condos itself or to lease them from unrelated parties at a much higher rent. The rent that Centerspot, Inc. charges is just enough to cover Centerspot, Inc.s mortgage payments on the properties and to maintain a reserve for repairs and upgrades to the properties. Centerspot, Inc. must charge more than nominal rent for the properties because Centerspot, Inc. must service mortgages, pay contractors to maintain and repair the exteriors of the property and pay fees to maintain the common areas in the Antioch office park. The rent that Centerspot, Inc. charges CocoKids, Inc. for the properties does not exceed an amount necessary to service the mortgages and to maintain a reasonable reserve. The rent under the current leases is approximately 90% of market rent.

The board of directors of CocoKids, Inc. determined that it was prudent to isolate the equity in the buildings from claims that could arise in the operation of CocoKids, Inc. Having Centerspot, Inc. acquire the buildings and develop the equity in them addresses this concern.
