Mission
The Southern Sierra Research Station is a non-profit organization located in the foothills of California's Sierra Nevada Mountains. We aim to understand the biological processes that control population sizes and species diversity by conducting basic and applied research. In collaboration with government, academic, and conservation organizations, we create and interpret scientific knowledge to inform environmental policy and encourage public appreciation of the region.

Disclosure statements are reviewed by the chief operating officer and board of directors to determine compliance with the organization's conflict of interest policy and any appropriate actions set forth in the policy for addressing such actual or potential conflicts of interests and or transactions.”

The compensation amounts provided by ssrs in 2022, that the board of directors determined to be fair and reasonable, were below the market median amounts, and at or below the fair market amounts, for the applicable employment position provided in (1) this compensation study/assessment and (2) the additional compensation data that constitutes appropriate data as to comparability that the non-disqualified ssrs directors collected. AFTER PUBLICLY ADVERTISING AND EVALUATING ALL CANDIDATES FOR THE COO POSITION, THE SSRS NON-DISQUALIFIED DIRECTORS DETERMINED KATHARINE BATDORF WAS THE BEST CANDIDATE, WAS HIGHLY QUALIFIED TO SERVE AS SSRS' COO, AND FOUND THAT AN EMPLOYMENT RELATIONSHIP WITH KATHARINE BATDORF AS SSRS' COO IS IN SSRS'S INTERESTS AND FOR SSRS'S BENEFIT, AND THAT SSRS HAD CONSIDERED AND IN GOOD FAITH DETERMINED AFTER REASONABLE INVESTIGATION UNDER THE CIRCUMSTANCES THAT SSRS COULD NOT HAVE OBTAINED A MORE ADVANTAGEOUS ARRANGEMENT WITH REASONABLE EFFORT UNDER THE CIRCUMSTANCES. IN ADDITION, THE SSRS NON-DISQUALIFIED DIRECTORS DETERMINED THAT AN EMPLOYMENT RELATIONSHIP WITH MARY WHITFIELD AS SSRS' RESEARCH DIRECTOR DUE TO HER OUTSTANDING QUALIFICATIONS AND PERFORMANCE IN THAT ROLE PRIOR IS IN SSRS'S INTERESTS AND FOR SSRS'S BENEFIT, AND THAT SSRS HAD CONSIDERED AND IN GOOD FAITH DETERMINED AFTER REASONABLE INVESTIGATION UNDER THE CIRCUMSTANCES THAT SSRS COULD NOT HAVE OBTAINED A MORE ADVANTAGEOUS ARRANGEMENT WITH REASONABLE EFFORT UNDER THE CIRCUMSTANCES. AFTER MARY WHITFIELD AND KATHARINE BATDORF ACCEPTED THEIR NEW STAFF POSITIONS AS RESEARCH DIRECTOR AND COO RESPECTIVELY TO COMMENCE IN JANUARY 2022, THEY RESIGNED AS DIRECTORS FROM SSRS' BOARD BEFORE THE END OF 2021. PRIOR TO PROVIDING COMPENSATION TO MARY WHITFIELD AS RESEARCH DIRECTOR AND FOR KATHARINE BATDORF AS CHIEF OPERATING OFFICER, THE NON-DISQUALIFIED DIRECTORS OF SOUTHERN SIERRA RESEARCH STATION (SSRS) APPROVED THE COMPENSATION AMOUNTS AS FAIR AND REASONABLE TO SSRS, IN SSRS' INTERESTS, AND FOR SSRS' BENEFIT BASED ON: (1) A COMPENSATION STUDY/ASSESSMENT THE NON-DISQUALIFIED SSRS DIRECTORS APPROVED THAT SSRS, THROUGH ITS NON-DISQUALIFIED DIRECTORS, COMMISSIONED AN INDEPENDENT CONSULTANT TO PERFORM, AND (2) ADDITIONAL COMPENSATION DATA THAT CONSTITUTES APPROPRIATE DATA AS TO COMPARABILITY THAT THE NON-DISQUALIFIED SSRS DIRECTORS COLLECTED. THE COMPENSATION AMOUNTS PROVIDED BY SSRS IN 2023, THAT THE BOARD OF DIRECTORS DETERMINED TO BE FAIR AND REASONABLE, WERE BELOW THE MARKET MEDIAN AMOUNTS, AND AT OR BELOW THE FAIR MARKET AMOUNTS, FOR THE APPLICABLE EMPLOYMENT POSITION PROVIDED IN (1) THIS COMPENSATION STUDY/ASSESSMENT AND (2) THE ADDITIONAL COMPENSATION DATA THAT CONSTITUTES APPROPRIATE DATA AS TO COMPARABILITY THAT THE NON-DISQUALIFIED SSRS DIRECTORS COLLECTED.
