Most of the revisions to the san jose downtown foundation bylaws in 2021 were small changes from the 2013 version of the bylaws. They included: - matching language to the sjda bylaws for consistency. Update the gender language - a trustee may be reelected and serve 3 terms now, instead of 2 terms. The same for the officer positions on the board. - the trustee will take office january 1 following their election instead of taking office immediately after their election. - vacancies in the board of trustees may now be filled by a vote of a majority of the board of directors of the san jose downtown association board. - updated language including adding virtual meetings. - any officer may now be removed from office by a majority of the board of trustees for failure to fulfill the duties of said officer or for conduct detrimental to the best interests of the corporation. -this previously stated the number 4 (four) - any officer may resign at any time by giving written notice to the board of trustees or to the president of the board used to include the secretary, this has been removed.
