Board members of the organization shall be the same as board members of Charities Housing Development Corporation of Santa Clara County (CHDC), a related charitable organization. Catholic Charities of Santa Clara County has to approve all board members of CHDC prior to joining the board.

The organization generally does not have committee with authority to act on behalf of the governing body. There is documentation that certain decisions can be made on behalf of the board in the board minutes.

Board members complete an annual questionnaire regarding any potential conflicts of interest and attesting to understanding the policy. Staff members receive information in the employee handbook outlining any conflicts of interest and the requiremnt to address any potential conflicts immediately. Staff members sign an acknowledgement of receipts and review of the employee handbook.

The organization does not compensate any officers and key employees directly. The Board President is compensated by Catholic Charities of Santa Clara County and Excutive Director and other key employees are compensated by Charities Housing Development Corporation, a related organization. Compensation is based on comparability data( salary surveys by region) and reviewed and approved by the Board of Directors of Charities Housing Development Corporation.
