Governance Explanations

Form 990, Part VI, Section B, Line 11B

Once the executive director has reviewed and approved the draft form 990, the draft is distributed to the members of the board of directors. The members have one week to provide comments and changes. All comments/changes are distributed to the executive committee for review. After the executive committee approves the revised draft, the treasurer accepts the form 990 and reports the acceptance to the executive director. The executive director reports the information to the tax preparer and signs the form 990. Once the form 990 is signed, it is filed with the appropriate agencies.

Form 990, Part VI, Section B, Line 12C

The employee handbook and board of directors guidelines contain a conflict of interest policy. Compliance with policy is monitored throughout the year.

Form 990, Part VI, Section B, Line 15

The board of directors compensation committee reviews available independent surveys and the form 990 of other similar organizations in determining reasonable compensation of the executive director. Any change in compensation is approved by the board.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, financial statements, form 990, and form 1023 available upon request. Form 990 is also available to the public on guidestar.
