Form 990, Part VI, Section B, Line 12C

Trustees, officers, and executive staff members disclose annually any anticipated or possible conflict situations. This statement includes current participation, affiliation,or other involvement with any nonprofit organization and with any for-profit organization used by the global fund for women in which an affiliated person or an immediate family member may have an interest. If a conflict arises the person with a conflict is not allowed to vote on the transaction. There have been no incidences of conflict during the reporting period.

Form 990, Part VI, Section B, Line 15

The global fund for women endeavors to attract, recruit and retain the most well qualified officers in the field of international women's rights who have demonstrated significant contributions to the advancement of the rights of women and girls. With this goal in mind, officer compensation supports the overall achievement of the global fund's organizational goals and its mission. Decisions on leadership compensation are based on factual data that includes salary surveys and studies conducted by independent sources about officer positions at similar organizations and information obtained from publicly available regulatory filings of similar organizations. Compensation approval for the ceo and coo/cfo is done by an independent compensation committee. The process is documented and was last done during fy 13-14 upon hire and will next be conducted during fy 15-16 in accordance the organization's policy.

Form 990, Part VI, Section C, Line 19

The financial statements, governing documents, and conflict of interest policy are all available upon request.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Change in beneficial interest in trusts 29,122.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment consists of three funds established for a variety of purposes and includes donor-restricted funds. Net assets associated with this endowment are classified and reported based on the existence or absence of donor-imposed restrictions. The organization has adopted investment and spending policies for endowment assets that attempt to preserve the purchasing power of the endowment fund and at the same time provide a regular and growing distribution of funds for the use of the organization, consistent with the terms of the endowment fund distribution policy and the terms governing each of the individual endowment funds. A balanced approach is to be taken between risk, preservation of capital, income and growth. The organization has a policy of appropriating for distribution each year an amount not to exceed six percent of its endowment fund's average asset fair market value. The board of directors may request all, a portion, or none of the appropriation be distributed in accordance with the endowment fund's purpose as defined by the endowment agreement or applicable board resolution. Any portion of the distribution not appropriated by the board shall be kept in the endowment fund, be governed by the endowment investment policy, and be available for future distribution in accordance with the distribution policy.

PART X, LINE 2:

The organization is a not-for-profit organization, exempt from federal income tax under section 501(c)(3) of the united states internal revenue code (the code), and contributions to it are tax deductible as prescribed by the code. The organization is also exempt from california income tax under section 23701d of revenue and taxation code. The organization is generally no longer subject to tax examinations relating to federal and state tax returns for years prior to 2009. The organization has been classified as an organization that is not a private foundation under section 509(a)(1) and has been designated as a "publicly supported" organization under section 170(b)(1)(a)(vi) of the code. The organization assesses its accounting for uncertainties in income taxes recognized in its financial statements and prescribes a threshold of more-likely-than-not for recognition and de-recognition of tax positions or expected to be taken in a tax return.

IRS990/Desc0GRANTS AND GRANTEE SERVICES: IN FYE2014, WE DISTRIBUTED 410 GRANTS TO SEED, STRENGTHEN AND LINK WOMEN'S HUMAN RIGHTS GROUPS WORLDWIDE. IN ADDITION TO THE DIRECT GRANTS AWARDED, WE SUPPORTED GRANTEE CAPACITY BUILDING, INCLUDING SUPPORTING CONVENINGS FOR GRANTEE PARTNERS AND ADVISORS IN THE MENA REGION AND FOR WOMEN HUMAN RIGHTS DEFENDERS IN MEXICO. WE ALSO DEVELOPED AN ORGANIZATION-WIDE LEARNING, EVALUATION AND IMPACT FRAMEWORK TO SYSTEMATICALLY CAPTURE DATA AND TO ANALYZE OUR GRANTMAKING TO IMPROVE OUR WORK AND EFFECTIVELY SHARE RESULTS WITH OUR GRANTEES AND DONORS. OUR GRANTMAKING PROGRAM HAS ENABLED WOMEN TO CREATE POSITIVE IMPACT AROUND THE WORLD, SUCH AS IN EGYPT DURING THE REVOLUTION, IN THE PHILIPPINES IN RESPONSE TO TYPHOON HAIYAN, ACROSS 24 COUNTRIES WHERE GRANTEE PARTNERS ARE WORKING TO INCREASE SCHOOL RETENTION AND ENROLLMENT RATES FOR GIRLS, AND THROUGH A SUSTAINABLE AGRICULTURE INITIATIVE TO INCREASE RURAL WOMEN'S AND GIRLS' ACCESS TO BASIC RESOURCES IN SUB-SAHARAN AFRICA.
