Governance Explanations

Form 990, Part VI, Section B, Line 11B

The Audit Committee will review a draft copy of the Form 990 as a group, then hold a discussion on issues noted, if any. As authorized by the Board of Directors, the Audit Committee will approve the Form 990, with any noted changes. Once the Form 990 has been approved, final forms are printed and submitted to the Organization for signature and filing. A copy of the return is available, upon request.

Form 990, Part VI, Section B, Line 12C

The Board ensures that anyone involved in a motion has no conflict of interest or perceived conflict of interest. If a conflict of interest exists, that member would be asked to abstain from the vote. A conflict of interest disclosure statement is also filled out and signed by Board members on an annual basis.

The Board HR Committee evaluates the Executive Director using the same scale as is used for Organization employees. The scale is based on market analysis and is reviewed at least once every three years.
