Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The President, unless absent or otherwise unable to do so, shall preside as Chairperson of the Executive Committee. The Committee shall meet at the call of the President or the Board of Directors, or any two (2) members of the Committee, and shall have and may exercise when the Board of Directors is not in session the power to perform all duties, of every kind and character, not required by law or the charter of the Corporation to be performed solely by the Board of Directors. The Executive Committee shall have authority to make rules for the holding and conduct of its meetings, keep records thereof and regularly report its actions to the Board. A majority but never less than three of the members of the Committee in office shall be sufficient to constitute a quorum at any meeting of the Committee, and all actions taken at such a meeting shall be by a majority of those present; all acts performed by the Executive Committee in the exercise of its aforesaid authority shall be deemed to be, and may be certified as, acts performed under authority of the Board of Directors. Vacancies in the Executive committee shall be filled by appointment by the Board of Directors. All actions of the Executive Committee shall be recorded in writing in a minutes book kept for that purpose and a report of all actions shall be made to the Board of Directors at its next meeting.

The 990 is reviewed by the Finance Committee prior to providing a copy to the full Board and filing with the IRS.

Conflict of interest statements are signed by each Board member annually. The Executive Committee and the Finance Committee consider whether any conflicts of interest exist when evaluating major contracts.

Every year during the budget process, the treasurer reviews the salaries of all employees and approves any salary increases. To determine the Executive Director's salary, a review of comparability data from other non-profits was performed by the Finance Committee. No other individuals listed in Lines 15a and 15b are compensated.

OTHER PROGRAM SERVICES 4: Urban Harvest holds an annual fruit tree sale each January. This is the largest single day sale in the country and sells nearly 4,000 fruit trees in 100 varieties acclimated to thrive in the Houston region. The annual sale is supported by many fruit tree experts and hundreds of volunteers. Additionally, Urban Harvest hosts many classes before and after the annual sale specific to growing, care and maintenance of fruit trees.

This comprehensive gardening education program is geared for everyone including the new gardener, the community gardener, the seasoned grower and the professional seeking continuing education requirements. The knowledgeable instructors provide both classroom and hands-on experiences to support a vibrant, local food system.
