Governance Explanations

Form 990, Part VI, Section A, Line 6

WEN Membership is available to individuals, companies, nonprofit organizations, and governmental entities providing services to and/or regulating energy companies with 5 or more years of professional involvement in the energy industry.

Form 990, Part VI, Section A, Line 7A

The WEN Global Board of Directors will be elected through a vote of the membership, based on a slate prepared by the Nominating Committee as described in the Bylaws. Notification of the slate of candidates and the process by which to cast ballots will be distributed to the WEN Membership by the current President-Elect or a designee at least thirty 30 days prior to the Annual Business Meeting.

Form 990, Part VI, Section A, Line 7B

Each member of WEN is entitled to one vote on each matter submitted by the Board to a vote at an annual business or special membership meeting. The Board has the discretion to decide which, if any, matters will be submitted to the members for a vote, except that the following decisions will always be submitted to the membership for a vote election of WEN Board, amending WEN's bylaws, dissolving WEN, merging or consolidating with another association, and selling all or substantially all of WEN's assets. A two-thirds majority of the members in attendance shall be required for such governance actions.

Form 990, Part VI, Section B, Line 11B

An electronic copy of the form 990 is provided to the organization's leadership before the return is filed. Upon tax preparer completion of the irs form 990, the form and accompanying schedules will first be reviewed by the key members of the association management company's client team. Thereafter, an electronic copy of the form 990 and accompanying schedules will be made available to the treasurer and president which may include current, past, and president-elect following the resolution of any questions or other matters that have arisen, the e-file authorization form is signed by an officer and the form 990 is electronically filed.

Women's Energy Network of Houston is pleased to sponsor chosen charities and bring its members information on volunteer opportunities in local organizations. Since 2000, Women's Energy Network of Houston has supported and raised money through charity events for organizations such as Women Helping Women, Girls, Inc., the Houston Area Women's Center, Boys and Girls Country, and Community Family Center. Mentoring: WENH instituted a Mentoring Program in 2007. This provides an opportunity for WENH members to enrich their careers by expanding their networks, growing their knowledge and diversifying their experience. WENH members who wish to be mentored will identify specific learning goals and will be matched in mentoring circles with WENH mentors who best meet their learning goals and who will work with them to achieve those goals over the scheduled term.
