“Officers are appointed by board members to operate the entity day-to-day. Board members are selected from the membership body annually by existing board members and officers. All members in good standing are eligible to join the board.”

“Board members approve the following: addition or removal of board members for cause, compensation of employees, creation/modification of programs, approval of tax return, creation/modification/usage of budgets, fund allocation and expenditures above a specific threshold, creation/removal of sub-committees, changes to organization policies, and modification of the by-laws (requires vote from membership body).”

“Board members are provided a copy of the form 990 at board meetings.”

“Conflict disclosure is on the honor system, but can be brought up for discussion by any board member or the membership body. Conflicts review occurs annually or when a conflict becomes known. Conflicts are documented and the board members decide on the appropriate course of action depending on facts and information available.”

“Management salaries are set by the board using national salary sources publicly documented. Compensation of management requires board approval.”

“Officers, other than the president, are not paid. Positions are voluntary. All other employee compensation is set by the president with guidance from the board.”

“Volunteers help plan, setup, procure, organize, and take down events. During 2021, most events were virtual, but still required heavy planning. Volunteers meet as part of committees. Each type of event will have a committee of 3 to 5 volunteers.”

“Port houston appreciation day - event attended by 342 attendees. This event is to recognize the port authority for the job creation and economic contribution to the east end of houston. East end women in business - event attended by 344 attendees. Event focuses on the support and educational resources to make the women in our community successful in their business careers.”
