Governance Explanations

Form 990, Part VI, Section A, line 2

Robert Boetticher, Blair Waltrip, Sumner James Waring III, Genevieve Keeney, Steve Tidwell, and Thomas Ryan have a business relationship.

Form 990, Part VI, Section B, line 11B

Form 990 is reviewed by the President and accounting team. A copy is provided to the Board prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Board and committee members or any member of their families should not have any beneficial interest in, or substantial obligation to any vendor of the Institute or any other organization that is engaged in doing business with or serving the Institute unless it has been determined by the Board, on the basis of full disclosure of facts, that such interest does not give rise to a conflict of interest. Board members are asked to sign a disclosure form annually.

Form 990, Part VI, Section B, line 15A

As part of the annual budget-setting process, the Chairman and other members of the Board look at the salaries of other mortuary schools to determine a competitive range for the President's annual salary and determine the amount for the upcoming budget year. The Board of Regents approves the President's compensation plan each year based on various critical success factors agreed upon by the Chairman of the Board of Regents and the President of the Institute each calendar year.

Form 990, Part VI, Section C, line 19

The Institute's governing documents and financial statements are made available to the public upon request.
