“The Corporation has a standing Executive Committee. The Executive Committee may set its own rules of procedure and shall meet at such time and place as provided by such rules, but in every case the presence of a majority of its members shall be necessary to authorize action on behalf of the Corporation. Minutes of the Executive Committee meetings are distributed to all members of the Board prior to the next regular meeting of the Board. Executive Committee members must be Directors and are appointed by a Nominating Committee, with the exception of the Chair of the Investment Committee, who is a permanent standing member of the Executive Committee.”
