Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The full board of the Houston Marathon Committee meets on a bi-monthly basis. The three member executive committee meets monthly. Minutes are kept for the executive committee and distributed to the full board. All decisions made by the executive committee are reviewed by the full board at the next board meeting.

The Executive Director, Director of Legal Affairs and Treasurer review the return prior to filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Houston Marathon Committee provides a handbook to each employee which contains information about the organization's conflict of interest policy and asks them to read it thoroughly. Employees are required to sign to acknowledge receipt of the handbooks. This process is repeated when updates are made to the handbook. When persons join the Board of Directors, they are also required to sign and to disclose any of their conflicts.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Houston Marathon Committee has an Executive Director's compensation is determined by the Human Resources Committee of the Board of Directors. This four-person committee annually reviews the budget and the economic and business conditions of the Houston area and makes a compensation recommendation to the full Board for the Executive Director. The Board of Directors votes on the compensation recommendation.

Compensation for all other officers and employees is also determined by the Human Resources Committee of the Board of Directors based on recommendations of the Houston Marathon Committee's Executive Director. This is done during the annual budget process.

Over 300,000 participants, volunteers and spectators make Houston Marathon Race Day the largest single-day sporting event in Houston. The Houston annual running event is held on a weekend in January. The event includes the Houston Marathon (approximately 10,000 runners), the Houston Half-Marathon (approximately 13,500 runners), and a 5k race (approximately 5,000 runners).Due to the COVID-19 pandemic beginning in 2020, the HMC pivoted to a Virtual Marathon, Half Marathon, and 5K. Participants were running races on their own and entering the results into the tracking website. Over 2,500 runners participated the event.
