Governance Explanations

Form 990, Part VI, Section A, Line 6

Texas wheat producers association is a voluntary membership organization consisting of approximately 150 individuals and other entities that produce wheat in the state of texas. The association was established to provide a strong political voice for all wheat producers. The association provides members with up-to-date information on policy, weather and crop reports, as well as representing them on the state and national political field.

Form 990, Part VI, Section A, Line 7A

The texas wheat producers board (a related organization) consists of representatives elected from each of four districts in the state of texas. Representatives are elected biennially to six year terms by eligible wheat producers statewide. Any person who is engaged in the business of producing wheat for commercial purposes is eligible to vote, including farm owners, their tenants and sharecroppers, if that person is subject to paying the statewide 3 cent assessment that is collected on a refund-only basis on wheat produced in any of the four texas districts. These texas wheat producers board members also serve on the executive committee of the texas wheat producers association. Because these members are elected in a statewide biennial election, no board member controls who the other board members are.

Form 990, Part VI, Section B, Line 11B

Form 990, part vi, line 11b - organization's process to review form 990 upon preparation by the accounting firm, the complete form 990 is sent to texas wheat producers association's executive vice president for his review. The executive vice president has been employed by the board to oversee the association's day to day operations. He will review the form 990 and clarify any issues prior to filing the return by the return due date. The board does not review the form 990.

Form 990, Part VI, Section B, Line 15

15a - compensation process for top official texas wheat producers association employees are subject to annual performance evaluations completed by the board of directors, who review and determine compensation levels during december board meeting for the upcoming fiscal year, which starts april 1. 15b - compensation process for officers texas wheat producers association employees are subject to annual performance evaluations completed by the board of directors, who review and determine compensation levels during december board meeting for the upcoming fiscal year, which starts april 1.

Financial Statement Notes

PART X, LINE 2:

Texas wheat producers association follows the provisions of accounting for uncertain tax positions under the fasb accounting standards codification. These provisions prescribe a recognition threshold of more likely than not, and a measurement attribute for all tax positions taken or expected to be taken on a tax return, in order for those tax positions to be recognized in the financial statements. Texas wheat producers association reports no uncertain tax positions and therefore has not recorded any unrecognized tax benefits or liabilities.
