“Pursuant to article iii, section 1 of the foundation bylaws, certain significant decisions of the governing body are ratified by international council of gamma phi beta sorority (the "international council"), which makes international council members of the foundation for 990 reporting purposes, notwithstanding article ii, section 1 which says "the foundation shall have no members."”

“Voting members of the foundation's board of trustees are reviewed and approved by the international council. The international council also appoints the foundation chair.”

“Pursuant to article iii, section 1 of the foundation bylaws, international council shall ratify the following actions of the foundation (i) amending the articles of incorporation in accordance with article viii of the bylaws; (ii) amending the bylaws in accordance with article viii of the bylaws; (iii) dissolving the foundation; and (iv) distributing, selling, contributing or otherwise disposing of all or substantially all of the assets of the foundation.”

The sorority's governing body (international council) conducts the chief executive officer's performance review annually. They determine compensation adjustments based on performance. Total salaries and benefits are also approved by international council during the budget process. Compensation adjustments for individual staff members are determined by the chief executive officer annually. Reasonableness of compensation is determined by comparing compensation to national averages as provided by adp total source, the organization's professional employer organization (peo).”
