Buffalo State College Campus House

“The membership of the organization consists of voting members and temporary members. Voting members are members of the faculty, staff or college of buffalo state college, retired members of the college faculty or staff, surviving spouses of deceased members of the college faculty or staff, members of the advisory boards who have been appointed by the college to serve college departments, academic units or centers of excellence, college alumni, and contributors to the college who meet guidelines attached to the by-laws. Temporary members are members who are affiliated with the college on a temporary basis.”

“An annual meeting is held during the last month of the second semester of the college's academic year. During the annual meeting, the voting members will elect directors, receive the annual report and transact other business.”

“During the annual meeting or special meetings that are called by the voting members, all corporate action will be voted on by eligible voting members which is authorized by majority vote.”

“A copy of form 990 is provided to the organization's governing body for it's approval before the return is filed.”

“No contract or other transaction between the campus house and one or more of its directors or officers, or between the campus house and any other corporation, firm, association or other entity in which one or more of the campus house's directors or officers are directors or officers, or have a substantial financial interest, will be either void or avoidable for this reason alone or by reason alone that such director or directors or officer or officers are present at the meeting of the board or of a committee thereof, which authorizes such contract or transaction, or that his, his or their votes are counted for such purpose, if the material facts as to such director's or officer's interest in such contract or transaction and as to any such common directorship, officership or financial interest are disclosed in good faith or known to the board or committee, and the board or committee authorizes such contract or transaction by a vote sufficient for such purpose without counting the vote or votes of such interested director or officer.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
