“Board members have indefinite terms, but as a general rule they rotate off the board after 3 to 4 years. The current 22 member board in place is constantly seeking replacement members in an effort to recruit community leaders and parents of children in each age group.”

“Prospective members are asked to attend a meeting, talk about themselves and why they want to be on the board. The board votes on new members at the next scheduled board meeting.”

“The board meets at least once a month through the school year and usually once in the summer. All grants made by the board follow a formal request submitted by the school, decisions are made following a complete review, discussion and verbal vote. Decisions can be made by majority vote, but rarely, if ever, is a decision made without a unanimous vote.all fundraising activities are presented to and approved by the board. Administrative items of immaterial nature or of an emergency nature can be made with the consent of 2 officers, such as purchasing stamps. All expenditures require the signature of 2 officers.”

“The acting treasurer works with the accountant to complete the return and then reviews and approves the final version to be filed. Any questions regarding the contents of the return are brought before the board by the treasurer. Board members are provided copies of the completed return.”

“Each member of the board is given a copy of the bylaws of the foundation which prohibits the board members from engaging in any activity which could constitute self-dealing. All grant requests come from the teachers and staff of sisd. If a board member becomes employed by the school, they are asked to resign. Board members are prohibited from voting on a grant submitted by a family member, or from a grant which would directly impact a family member. Because the foundation is associated with a small school and community, and grant requests are thoroughly reviewed, conflicts are easily identified.”
