“Directors and officers are required to annually review and sign the conflict of interest policy. Each director notifies the chair of the existence of their own conflict. Directors are required to abstain from voting and/or discussing an issue when they have a conflict.”

“Vision africa is lead by its president, sunday onuoha, and directed by its executive director, cynthia woods, with the help of a volunteer board of directors. Thus, a greater percentage of contributions are available to be applied to programs, versus administrative costs. Vision africa had five paid employees in 2022, three of these being bishop sunday onuoha, president, hannah taylor, former executive director and cynthia woods, current executive director. Vision africa has a paid third party bookkeeper for accounting/financial record keeping and a paid cpa firm for compliance and audit. Sunday's primary responsibilities are exclusively to implement vision africa programs in nigeria, including (i) management of a faith based radio ministry in nigeria, (ii) coordinating, planning and executing evangelism activities and church plantings in nigeria, (iii) coordinating, planning, executing and conducting medical missions and disease prevention activities, (iv) coordinating, planning, conducting, and speaking and teaching at leadership development activities, (v) development of strategic partnerships with other organizations (including the united nations, the nigerian methodist church, the united states agency for international development, the center for inter-faith action, the nigerian inter-faith action association, etc.) and (vi) peace and reconciliation initiatives. Cynthia's responsibilities included serving as the first point of contact and being the "face" of vision africa with regard to all u.s. Activities of vision africa, including but not limited to (i) coordinating and handling or overseeing all aspects of u.s. Operations, (ii) coordinating all communications with and management oversight of all nigerian operations, (iii) coordinating communications with board members, churches, volunteers, supporters, and inquirers, (iv) coordinate management oversight of nigerian radio station operations, (v) oversee website, day to day operations of u.s. Office including accounting, bookkeeping, and operating financial matters, all ministries of vision africa, donor database management, thank you notes, correspondence, etc., and (vi) reporting as necessary to the board and attending board meetings.”
