NADPs mission is to promote and advance the dental benefits industry to improve consumer access to affordable, quality dental care. NADP was originally founded in 1989 to serve the dental HMO industry. The organization moved its headquarters to Dallas in 1994 and a year later broadened its membership to include DPPOs. Expansion of its membership base continued in succeeding years with the addition of dental discount plans in 1995 and indemnity programs in 2001. For the past decade NADP has served as the representative and recognized resource of the dental benefits industry. Our members include national commercial carriers, regional and single state plans, companies organized as not-for-profit service plans, interested individual members, dental practice management companies and supporting member organizations that provide products & services to the dental benefits industry. Our four major programs are research, education, government relations, and collaboration.

NADPs mission is to promote and advance the dental benefits industry to improve consumer access to affordable, quality dental care. Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

members do NOT include governing body members. A member means any person who, pursuant to a provision of the organizations governing documents or applicable state law, has the right to participate in the organizations governance or to receive distributions of income or assets from the organization. NADPs voting members include companies that provide or administer dental benefits. Nonvoting members include supporting organizations (accounting, actuarial, data processing, investment banking, legal, dental supply, manufacturers, and pharmaceutical producers), international organizations, associate members which are involved in the dental practice management industry and individual members.

Form 990, Part VI, Line 7A: How Members or Shareholders Elect Governing Body

NADP voting members (see prior questions) have the power, under the By-laws, to elect members of the Board of Directors, i.e. NADPs governing body. Each voting member has a delegate that casts the ballot in the election of the members of the Board of Directors. If a vacancy on the Board occurs, the Board of Directors, can appoint someone to fill the vacancy.NADP has a 9-member Board of Directors. Board members serve 3-year terms and 3 positions come up for election each year. Board members can serve for 2 consecutive terms, so a Board member can run for re-election once. A Nominating Committee is appointed by the Board of Directors in the middle of the year to find and vet candidates for the Board according to criteria set by the Board of Directors to achieve balanced representation of NADPs voting membership. The slate of candidates is presented for Board approval. After approval, the slate is published to the members who can add to the slate by petition signed by 5 members. Detailed materials on the candidates are sent to the voting delegate for each dental plan member. Nominees speak at the Annual Business Meeting which is during the annual conference, CONVERGEusually in September or early October. Voting begins at the Business Meeting and continues for 10 days after the closing date of the conference. Voting members can cast votes equal to the number of positions up for election; bullet voting is not allowed. Positions are filled based on the highest vote totals in descending order. If there is a tie for the last available position, an additional round of balloting is conducted.

The form 990 is provided to the board of directors for discussion, comment and approval in their spring meeting. Clarifications and corrections are often done via email after that meeting.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Board of Directors annually files a Conflict of Interest Statement in accordance with the by-laws. This statement includes disclosure of any interests that they feel may be a potential conflict at that time. The form further requires that if a conflict arises later in the year, the Board member must notify the Chairman and Executive Director. The by-laws provide that a Board member that is present when an issue for which there is a conflict comes before the Board may be counted for the purposes of quorum but not for the vote on this issue.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Executive Committee acts as the Compensation Committee. They are required to annually review the compensation of the Executive Director. This is done in conjunction with the annual evaluation. The Executive Director submits a self-evaluation with information on compensation benchmarks from association surveys and other similar organizations. The Board Chair consults with the Executive Committee regarding feedback as well as bonus amounts and adjustments to compensation, and returns a revised evaluation with recommended compensation for the coming year via e-mail. The information is provided to our outside financial consultant to adjust payroll and is retained in the Executive Director's personnel file.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

NO officer or director receives any compensation. The Executive Director is responsible for setting all other staff salaries. All NADP positions are benchmarked to the most recent ASAE Compensation Survey with a target of 90% of base pay since that Survey contains jobs based primarily in DC and Chicago and the cost of living in Dallas is significantly below both cities.

Additional Explanations

Form 990, Part III, Line 2: New Services

COVID-19 necessitated in-person events, including the Advocacy in Action legislative fly-in and the Leadership Conference, to be held virtually. NADP CONVERGE 2021 was originally scheduled for September 20-23 at the New Orleans Marriott in Louisiana.After Hurricane Ida made landfall the week of August 30, the hotel reported that it would need to cancel given damage from the hurricane and not being able to become operational in time for the conference, and force majeure would apply. A virtual event was organized for the first week of October.

OTHER PROGRAM SERVICES 4: COLLABORATION - NADPs role under collaboration is serving on various national and international groups that are involved in the setting of standards and transaction guidelines for the dental benefits industry in the areas of procedure codes (CDT), diagnosis codes (SNODENT), and EHR reporting (ICD), quality measures, and electronic data interchange for claims processing, electronic funds transfer and electronic health records.

NADP does not file W-3 directly as we use a PEO for employment and payroll functions. Our staff are co-employees of NADP and the PEO. During 2021, NADP had 11 full time individuals employed under the PEO arrangement.

Financial Statement Notes

Part X : FIN48 Footnote

The Organization is exempt from federal income taxes under section 501(c)(6) of the IRC. However, income generated from activities unrelated to the Organizations exempt purposes is subject to tax under IRC Section 511. The Organization accrued $4,280 for income tax payable for unrelated business income tax in 2021. The Organization did not have any material unrelated business income tax liabilities for the year ended December 31, 2021. Accordingly, no provision has been made for federal income taxes. GAAP requires the evaluation of tax positions taken in the course of preparing the Organizations tax returns and recognition of a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Organization, and has concluded that as of December 31, 2021, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements.

IRS990/MissionDesc0NADPs mission is to promote and advance the dental benefits industry to improve consumer access to affordable, quality dental care. NADP was originally founded in 1989 to serve the dental HMO industry. The organization moved its headquarters to Dallas in 1994 and a year later broadened its membership to include DPPOs. Expansion of its membership base continued in succeeding years with the addition of dental discount plans in 1995 and indemnity programs in 2001. For the past decade NADP has served as the representative and recognized resource of the dental benefits industry. Our members include national commercial carriers, regional and single state plans, companies organized as not-for-profit service plans, interested individual members, dental practice management companies and supporting member organizations that provide products & services to the dental benefits industry. Our four major programs are research, education, government relations, and collaboration.
