Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has the following classes of members. The board of directors may create categories within each class. (a) certified members. Each certified member shall have the right to one (1) vote on any matter coming before the members and the right to attend the annual meeting and clinical symposia, the annual members' meeting, and other national meetings of nata. Only certified members shall be eligible to serve as directors and officers of nata. Certified members may serve on committees and as liaisons. Certified members shall have the right to exercise such other privileges prescribed by the board of directors and set forth in the bylaws and the policies and procedures manual. (b) certified-retired members. Certified-retired members shall have the right to one (1) vote on any matter coming before the members and the right to attend the annual meeting and clinical symposia, the annual members' meeting, and other national meetings of nata. Certified-retired members shall pay no dues and have other rights and privileges prescribed by the board of directors and set forth in the bylaws and the policies and procedures manual. (c) other members. Other members shall have the right to attend the annual meeting and clinical symposia, the annual members' meeting, and other national meetings of nata, but shall have no voting rights and shall not be eligible to serve as directors or officers of nata. Such members shall have other rights and privileges prescribed by the board of directors and set forth in the bylaws and the policies and procedures manual.

Form 990, Part VI, Section A, Line 7A

Certified professional, certified student and certified retired members - each certified athletic trainer designated by their individual district is to serve on the board of directors. The only decisions of the governing body subject to consultation with the members are decisions on dues increases. The certified members voted for the new bod president.

The districts are their own separate entities with their own meetings, elected leaders and governance structure. Nata does not control these entities through ownership or management, however, nata does require districts to submit copies of updated bylaws and proof of tax return filing each year. In addition, in the situation of a conflict between district and nata bylaws, nata's bylaws take precedence.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policies covers all board members and executive leadership. Covered positions are required to disclose ownership or other proprietary interests, responsibilities, circumstances, or other reasons why you (or, by extension, any member of your family) might have an actual, apparent or potential conflict of interest with your duty to nata, both respect to the conflicts prohibited above and any others. In the event a conflict of interest arises during the member's term of service, the board member must immediately notify the president of the conflict, which will be reviewed by the executive committee of the board. Actions, such as immediate resignation of their position as a board of director may result, and the district's succession policy for vacancy would be enacted. Additional exceptions may be considered by the nata board of directors on a case-by-case basis. In the event a conflict of interest arises during the chair's term of service, the volunteer must immediately disclose the conflict to the volunteer engagement manager for review by the nata board of directors to determine the timing of a succession plan. The board may determine immediate resignation, resignation at the end of december or resignation/completion of term at the end of june. Additional exceptions may be considered by the nata board of directors on a case-by-case basis.

The review committee, consisting of the president, vice president, and treasurer, are supplied with pertinent documentation including compensation surveys and any other relevant data. Based on the executive director's performance and review results, the review committee agrees on the raise percentage to apply. Any increase in compensation would not exceed what the organization budgeted for company-wide raises. The amount of raise applied to the executive director's salary is documented in his employee file. The process described here was last completed in 2023.
