Governance Explanations

Form 990, Part VI, Section B, Line 11B

The treasurer and the executive director are provided a copy of the 990 to review and approve before it is filed. The full board is also provided a copy of the 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Midland festival ballet's employee manual includes a conflict of interest policy and guidelines for employees. Members of the board of directors also review and sign a conflict of interests disclosure form on an annual basis. The executive director and artistic director communicate openly about decisions made for the organization in monthly executive committee meetings and regular board meetings. When the rare circumstance arises, the executive director brings the matter before the executive committee in a timely fashion to help ensure monitoring and compliance is not only a staff responsibility, but also, a board of director's responsibility.

Form 990, Part VI, Section B, Line 15A

Compensation for the executive director is determined by the executive committee of the board of directors before budget items are submitted for voting. The executive committee reviews salary data from the non-profit management center before presenting it to the board for approval.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, policies and financial statements available to the public on a request by request basis.
