“The Executive Committee shall be comprised of the Chair, Vice Chair, the Treasurer, and the Secretary of the board. The CEO shall be a non-voting ex-officio member of the Executive Committee. The Executive Committee shall have the general authority to act for the organization in all matters not reserved specifically for the board, particularly those which must be acted upon prior to the next board meeting or those requiring emergency action. The Executive Committee may not execute final approval of any amendment to the Articles of Incorporation, amendment to the Bylaws, or the annual budget. All actions of the Executive Committee shall be in accord with the policies and directives of the board. The Executive Committee must report to the board any action it takes within 30 days of a decision. The Executive Committee is not authorized to make decisions with respect to the following matters: - Dissolving the corporation - Hiring or firing the chief executive - Entering into major contracts or suing another entity - Making significant changes to a board-approved budget - Adopting or eliminating major programs - Buying or selling property - Amending the Bylaws - Changing any policies the board determines must be changed only by the board”

“Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's CEO/President, Treasurer/Chairman of the Audit Committee, and Chairman of the Board. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.”

The board chair is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.”

“The President/CEO's compensation is reviewed and approved by the independent members of the board of directors utilizing comparability data. The board executive committee meets as part of the compensation committee to review the President/CEO's compensation and this process is documented in the executive committee minutes.
