Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Monitoring and Compliance Procedures for Conflict of Interest Policy: Housing Channel's conflict of interest policy is designed to help directors, officers, employees and volunteers of the Housing Channel identify situations that present potential conflicts of interest and to provide Housing Channel with a procedure to appropriately manage conflicts in accordance with legal requirements and the goals of accountability and transparency in Housing Channel operations.Monitoring Procedures: Housing Channel has arranged for the supervision and/or functional segregation of each director, officer, employee and volunteer and/or performance of carrying out organizational activities where the interests of each director, officer, employee and volunteer and Housing Channel's interests may conflict. These steps are designed to prevent the simultaneous involvement of a relevant person in separate services or activities where such involvement may impair the proper management of conflicts.Prior to board or committee action on a Contract or Transaction involving a Conflict of Interest, a director or committee member having a Conflict of Interest and who is in attendance at the meeting shall disclose all facts material to the Conflict of Interest. Such disclosure shall be reflected in the minutes of the meeting. If board members are aware that staff or other volunteers have a conflict of interest, relevant facts should be disclosed by the board member or by the interested person him/herself if invited to the board meeting as a guest for purposes of disclosure.The President will monitor proposed or ongoing transactions of the organization (e.g., contracts with vendors and collaborations with third parties) for conflicts of interest and disclose them to the board and staff, as appropriate, whether discovered before or after the transaction has occurred.In the event it is not entirely clear that a Conflict of Interest exists, the individual with the potential conflict shall disclose the circumstances to his or her supervisor or the Chair or the Chair's designee, who shall determine whether full board discussion is warranted or whether there exists a Conflict of Interest that is subject to this policy.Policy Reviewa) Each director, officer, employee and volunteer shall be provided with and asked to review a copy of the Policy and to acknowledge in writing that he or she has done so.b) Annually each director, officer, employee and volunteer shall complete a disclosure form identifying any relationships, positions or circumstances in which he/she is involved that he or she believes could contribute to a Conflict of Interest. Such relationships, positions or circumstances might include service as a director of or consultant to another nonprofit organization, or ownership of a business that might provide goods or services to Housing Channel. Any such information regarding the business interests of a director, officer, employee or volunteer, or a Family Member thereof, shall be treated as confidential and shall generally be made available only to the Chair, the Executive Director, and any committee appointed to address Conflicts of Interest, except to the extent additional disclosure is necessary in connection with the implementation of this Policy.c) The policy shall be reviewed annually by each member of the Board of Directors. Any changes to the policy shall be communicated to all staff and volunteers.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Executive Director Compensation Policy Line 15a&b, General Policy:Housing Channel has an Executive Director Compensation Policy. The policy requires the Executive Committee to meet at least annually to review changes to compensation and benefits for the President. The review will include a review of the prior year's performance and the goals and objectives established for the upcoming year. The Executive Committee will obtain a salary survey of comparable positions in area nonprofits to determine comparability of compensation. Members of the executive committee make an independent review and approval of the annual compensation and benefits of the President.This process is required for the President and the Vice President positions.Housing Channel's Personnel Policies and Procedures were originally approved March 8, 2000 and amended February 20, 2004 and September 10, 2014. With regard to Executive Director Compensation, it states under Section XII - Working Conditions, Policies and Procedures, "Salary changes of the President and Vice President will be subject to Board approval and must be in writing/email from the Board Chair before funds can be disbursed."Approval is documented in the board minutes.

Form 990, Part III, Line 4D: Other Program Services Description

Other program services 4: housing channel operates under an integrated approach, maximizing resources to offer a variety of programs in an effort to meet the changing needs of low-to-moderate income families and help them build wealth through homeownership. Housing channel creates educated and empowered homeowners to uplift neighborhoods and strengthen communities. In addition to affordale housing development, housing channel administers down payment assistance programs for first-time homebuyers and provides housing counseling and education services. Housing channel's housing advisors provide services in english and spanish which include homebuyer outreach/orientation sessions, financial literacy classes, individual pre-purchase and foreclosure prevention counseling, homebuyer training and post-purchase workshops. This holistic approach increases our clients' ability to resolve credit issues, decrease debt, and increase savings, which ultimately prepares them for homeownership. These programs are the foundation of housing channel's mission to increase affordable housing opportunities for hard-working north texas residents and to promote the economic growth and revitalization of neighborhoods in our community.

Financial Statement Notes

Part X : FIN48 Footnote

HOUSING CHANNEL is exempt from federal income taxes under section 501(c)(3) of the IRC and has not been classified as a private foundation as defined in the IRC. Income generated from activities unrelated to the Organizations exempt purposes is subject to tax under IRC Section 511. The Organization had no unrelated business income for the year ended September 30, 2017. Accordingly, no provision has been made for federal income tax in the accompanying consolidated financial statements. Single member limited liability companies are disregarded as an entity separate from its owner. GAAP requires the evaluation of tax positions taken in the course of preparing the Organizations tax returns and recognition of a tax liability (or asset) if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by the Internal Revenue Service. Management has analyzed the tax positions taken by the Organization, and has concluded that as of September 30, 2017, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the consolidated financial statements.

Units are leased at affordable rents primarily to very low- and low-income households. Many tenants are single-parents, struggling to find a safe, affordable, and pleasant environment for their children. Housing Channel takes great pride in maintaining these properties at high quality standards. As quality, affordable rental units are in high demand due to tighter mortgage qualification requirements, and low vacancy rates, tenants are encouraged to take advantage of free budget and credit counseling services offered at Housing Channel to move toward an opportunity for improved credit and homeownership opportunities.

This program impacts local redevelopment efforts by providing the community with stabilized property values and decreased renter-occupied housing to promote the revitalization of distressed neighborhoods. Additionally, these efforts impact the broader community by decreasing neighborhood crime, generating tax revenue, creating jobs, and eliminating blight, which furthers the sustainability of older neighborhoods and deteriorating urban areas. As a HUD approved affordable housing provider, Housing Channel has been able to acquire, rehabilitate and resell hundreds of units throughout Tarrant County and North Texas in an effort to preserve existing housing stock.
