Governance Explanations

Form 990, Part VI, Section A, Line 1A

Delegation of authority: the executive committee shall be composed of the officers of the corporation, the immediate past chair, and the chief executive officer. They shall have the full authority to undertake the duties and powers of the board except as stated in the bylaws. All actions of the executive committee are reported to the board at its next meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The ceo and cfo review the return, and then provide a copy to the board of directors before filing with the irs.

Form 990, Part VI, Section B, Line 12C

Process for monitoring compliance with conflict of interest policy: each year there is a workshop presented to the board of directors to define conflicts of interest. Directors are required to disclose any potential conflict subsequent to the training. Directors, officers, and key employees are also charged with disclosing any conflicts that arise during the regular course of business throughout the year. If any individual has a conflict of interest, they abstain from any decisions related to the conflict area.

Form 990, Part VI, Section B, Line 15

Each position is assigned a salary range based on the nature of the work, skills required, level of responsibility, experience and training required to successfully perform the work. Salary ranges are based upon similar positions listed in feeding america's annual "benefits & compensation survey" for food banks with comparable meal distribution, geographic location, employee size and budgets, and cross-referenced with local area compensation available for for-profit and non-profit organizations in the tyler and east texas market. Compensation packages and annual merit increases are based on job-related criteria and subject to the approval of the chief executive officer (ceo) and the human resources committee of the board of directors. The ceo is empowered by the etfb board of directors with the responsibility for ensuring the fair and equitable administration of this salary and benefits policy. The financial position of the etfb including grant funds available to meet budgetary needs shall determine the amount allocated for salaries and benefits. The etfb may grant annual merit salary increases that are subject to budgetary constraints and relative to the employee's job performance and position within the established salary range. As a general practice, etfb annual salary increase rates are based upon the society for human resource management's (shrm) reported average annual wage increase within the non-profit sector for the region or comparable data source. The average annual merit wage increase for employees meeting performance expectations is subject to the approval of the board of directors. Annual salary reviews shall be conducted by and effective on july 1st of each year. Merit increases are calculated on the basis of a percentage of the employee's current base salary. Exceptions to the annual salary increase cycle must be approved by the ceo and is subject to the limits of the budget and existing salary ranges. The human resources director is responsible for analyzing the salary ranges for all positions and recommending the base annual merit increase rate for the approval of the ceo and hr committee. The hr committee is responsible for reviewing and approving the ceo's recommended annual increase rate. The ceo is responsible for administering the compensation practices as approved by the hr committee and the board of directors. The executive committee of the board of directors is responsible for administrating this policy when reviewing the compensation and benefits of the ceo.
